Sub: Additional Details Required for Corporate Announcement filed under Regulation 30 - of SEBI (LODR) Regulations, 2015 Disclosure of appointment of Cost Auditor

This is with reference to the submission made by us bearing letter reference no. NITCO/SE/2025-26/17 dated July 02, 2025, and email received form BSE dated July 03, 2025 for additional details required under SEBI Circular dated November 11, 2024 for Corporate Announcement filed under Regulation 30 of SEBI (LODR) Regulations, 2015, with regard to the appointment of Cost Auditor of the Company.

Part A, Para A Sub-Para 7 Schedule III of Regulation 30 of SEBI (LODR) Regulations, 2015 states as follows:

“In case of change in directors, key managerial personnel (Managing Director, Chief Financial Officer, Company Secretary, etc.) Senior Management, Auditor and Compliance Officer shall be disclosed to the stock exchange by the listed entities within 12 (twelve) hours from the Effective date of Appointment.”

Taking note of the above regulatory compliances of SEBI (LODR) Regulations, 2015 and SEBI Circular No. as mentioned above, we would like to inform you that the Company vide its letter reference No. NITCO/SE/2025-26/17 dated July 02, 2025 intimated the stock exchange that the Board of Directors on recommendation of the Audit Committee on Monday, June 30, 2025 has approved the appointment of Mr. R. K. Bhandari proprietor of M/s. R. K. Bhandari and Co., (FRN: 101435) - Cost Accountants as the Cost Auditor of the Company for conducting the Cost Audit for FY 2025-26 with a slight delay.

It was our initial interpretation that the above mentioned regulatory compliances of SEBI (LODR) Regulations, 2015 was applicable for the appointment of the Statutory Auditors. However, post consultation with our management & corporate advisors, and taking into account the past practice followed by the Company, it was decided that in the interest of good corporate governance and transparency, disclosure obligations should also be extended to the appointment of the Cost Auditor in accordance with Regulation 30 of the SEBI (LODR) Regulations, 2015, read with the relevant SEBI Circulars.
