Dear Sir/Madam,

Pursuant to Regulation 30 read with Schedule III of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 (“SEBI LODR”), we would like to inform you that the Meeting of the Board of Directors of the Company, held today, i.e. Friday, 13[th] September, 2024 at 5.30 pm at the registered office of the Company, the Board has considered and approved the following matters:

  1. Approved the increase in Authorised Share Capital of the Company from Rs. 42,00,00,000/(Rupees Forty Two Crores Only) consisting of 4,20,00,000 (Four Crores Twenty Lakhs) Equity Shares of Rs. 10/- (Rupees Ten only) each to Rs. 70,00,00,000/- (Rupees Seventy Crores Only) consisting of 7,00,00,000 (Seven Crores) Equity Shares of Rs. 10/- (Rupees Ten only) each consequently alteration in Clause V of the Memorandum of Association of the Company, subject to the approval of members of the Company.

  2. Issue upto 1,25,00,000 (One Crore Twenty Five Lakhs) Fully Convertible Warrants convertible into equivalent number of fully paid up equity shares of the Company at a face value Rs. 10/- (Rupees Five only) each ("Equity Shares") at a price of Rs. 53/- (Rupees Fifty Three only) per Equity Share including a premium of Rs. 43/- (Rupees Forty Three only) per Equity Share for an amount upto Rs. 66,25,00,000/- (Rupees Sixty Six Crore Twenty Five Lakhs only) to the below mentioned person belonging to Promoter & Promoter Group and Non-Promoter Group on preferential basis, subject to the approval of members and such other statutory approvals as may be required:
