Item 2.02. Results of Operations and Financial Condition.

On February 3, 2017, NioCorp Developments Ltd. (the “ Registrant ”) issued a press release announcing its quarterly financial results for the quarter ended December 31, 2016, as filed on February 3, 2017 with the United States Securities and Exchange Commission and the relevant Canadian securities commissions in its Quarterly Report on Form 10-Q for the quarter ended December 31, 2016. A copy of this press release is furnished as Exhibit 99.1 to this Current Report on Form 8-K and is hereby incorporated by reference herein.
