Sub: Disclosure under Regulation 30 of SEBI (Listing Obligations & Disclosure Requirements) Regulations, 2015 – Intimation of resignation of Ms. Pooja Kadam from the position of Company Secretary and Compliance Officer and Key Managerial Personnel (“KMP”) of the Company
Dear Sir / Madam,
In compliance with provisions of Regulation 30 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015, we hereby inform you that Ms. Pooja Kadam, Company Secretary and Compliance Officer and Key Managerial Personnel of the Company, has conveyed today, her decision to resign from the position of Company Secretary and Compliance Officer and Key Managerial Personnel (“KMP”) of the Company with effect from end of business hours of May 29, 2024, to explore new opportunities.
The details required under Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, read with SEBI Circular No. CIR/CFD/CMD/4/2015 dated 9th September 2015 are given in Annexure I.
We hereby further confirm that there are no material reasons other than the reasons specified in the resignation letter received from Ms. Pooja Kadam enclosed as Annexure II. Ms. Pooja Kadam will also cease to be Key Managerial Personnel under the provisions of Section 203 and other applicable provisions, if any, of the Companies Act, 2013 and Regulation 30(5) of the SEBI LODR Regulations for determining the materiality of any event or transaction for making the required disclosures to the Stock Exchange w.e.f close of business hours of May 29, 2024.
Further, please note, the trading window of the Company is already closed for the purpose of financial results of the Company.
