This is to submit that the meeting of the Board of Directors of Nila Infrastructures Ltd. was held on Monday, May 20, 2019 at the registered office whereat the Board has; apart from considering financial statements and results; considered and approved the following businesses:

- Re-appointment of Mr. Shyamal S Joshi (DIN: 00005766) as Non- Executive Independent Director of the Company for another term of 5 years subject to the approval of shareholders at the ensuing annual general meeting.

- Appointment of Mjs MBD & Co LLP, Chartered Accountants as the Internal Auditors of the company for the financial year 2019-20.

- Appointment of Mjs Umesh Ved & Associates, Practicing Company Secretary as the Secretarial Auditors of the company for financial year 2019-20.

- Appointment of Mjs Dalwadi & Associates, Cost Accountants as the Cost Auditor of the company for financial year 2019-20.

- It terms of Regulation 17 (6)(ca) of the SEBI (Listing Obligations Disclosure Requirements) Regulations 2015 as amended, the remuneration payable to Mr. Kiran B. Vadodaria - Non Executive Director in the form of commission exceeding the remuneration payable to other non-executive directors; is proposed to ·be placed for approval of the shareholders at the ensuing annual general meeting.
