This is with reference to our letter dated October 9, 2025, wherein we had informed that the Board of Directors of the Company had approved the scheme of amalgamation amongst NIIT Institute of Finance Banking and Insurance Training Limited (“Amalgamating Company 1”) and RPS Consulting Private Limited (“Amalgamating Company 2”) (collectively, the “Amalgamating Companies”), with and into NIIT Limited (“Amalgamated Company” or “Company”) and their respective shareholders (“Scheme”), with an Appointed date as April 01, 2026.

In this regard, please note that the Amalgamating Companies and the Company has completed submission of the application with the jurisdictional Hon’ble National Company Law Tribunal on October 27, 2025.
