Dear Sir/ Madam,

Pursuant to Regulation 30 read with Schedule III of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 (“ Listing Regulations ”), we would like to inform you that NIIT (USA) Inc., USA (“ NIIT USA ”), a wholly owned subsidiary of NIIT Learning Systems Limited (“ NLSL ” or “ the Company ”), has informed the Company regarding the following decisions taken by its board of directors on January 23, 2026 in respect of its wholly owned subsidiary: NIIT Brazil LTDA (“ NIIT Brazil ”), which is also a step-down subsidiary of the Company.

NIIT USA had set up NIIT Brazil to expand the geographical presence, provide a platform and services to our CLG Customers and for presence in Latin America.

The board of directors of NIIT USA has approved an additional equity investment of upto USD 300,000 in NIIT Brazil in cash (as per requirement) to meet its funds requirement for growth and working capital. The existing capital of NIIT Brazil is USD 200,000 (Brazilian Real 1,093,000).

The proposed equity investments are subject to applicable regulatory and customary approvals, if any. The decision of the Board of NIIT USA is not expected to have a material impact on the consolidated financials of the Company. NIIT Brazil will continue to remain a wholly owned subsidiary of NIIT USA and a step-down subsidiary of the Company.
