Subject: Intimation regarding 22[nd] Annual General Meeting of the Company and Record Date for payment of final dividend for financial year 2023-24

Dear Sir/Madam,

This is to inform you that 22[nd] Annual General Meeting (‘AGM’) of the Members of the Company will be held on Tuesday, September 24, 2024, at 10:00 A.M. (IST). The meeting will be held through Video Conferencing (‘VC’) / Other Audio Visual Means (‘OAVM’) in compliance with General Circular No. 09/2023 dated September 25, 2023 and other circulars issued by the Ministry of Corporate Affairs and Circular No. SEBI/HO/CFD/CFD-PoD-2/P/CIR/2023/167 dated October 07, 2023 issued by Securities and Exchange Board of India (‘SEBI’) (hereinafter collectively referred to as ‘the Circulars’), permitting Companies to conduct the AGM through VC or OAVM without the physical presence of the members at a common venue.

We had earlier informed on May 22, 2024, that the Board of Directors recommended a final dividend of Rs. 2.75/- per equity share for the Financial Year 2023-24 for approval of members at the AGM. The Company has fixed Thursday, September 5, 2024, as the ‘Record Date’ for the purpose of ascertaining the eligibility of shareholders for payment of aforesaid final dividend (if approved at AGM) in terms of Regulation 42 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015. The payment of final dividend through permissible mode shall be made within 30 days from the date of approval of final dividend by members.

Pursuant to the requirement of the Income Tax Act, 1961, the Company will be required to withhold taxes at the prescribed rates on the dividend to be paid to its members.
