İÇERİĞİ DEĞİŞEN MADDELERİN YENİ HALİ SERMAYE

Madte 6Şirket Sermaye Piyasası Kanunu hükümlerine göre kayıtlı sermaye sistemini kabul etmiş ve Sermaye Piyasası Kurulu'nun 18/08/2011 tarih ve 27/782 sayılı izni ile kayıtlı sermaye sistemine geçniştir. Sermaye Piyasası Kurulu'nea verilen kayıtlı sermaye tavanı izni, 2025-2029 yılları (5 yıl) için geçerildir. 2029 yılı sonunda izin verilen kayıtlı sermaye tavanına ulaşılamamış olsa dabi, 2029 yılının bitiminden sonra yönetim kurulunun, sermaye artırını kararı alabilmesi için; daba önce izin verilen tavan ya da yeni bir tava u tutan için Sermaye Piyasası Kurulu'ndan izin almak suretiyle genel kuruldan yeni bir stre için yetki alması zorunludur. Söz konusu yetkinin alınmaması durumunda yönetim kurulu kararıyla sermaye artırını yapılamaz. Şirket'in kayıtlı sermaye tavanı 750.000.000 TL olup, her biri 1 (bir) TL itibari değerde olmak üzere 750.000.000 alet hamiline yazılı paya ayrılmıştır.Şirketin değerde 24.000.000 det hamiline yazılı paylardan oluşmaktadır.Çıkarılmış sermayeyi temsil eden pay bedellerinin tamanı muvazından ari şekilde tamanıen ödenmiştir.Önceki sermayeyi teşkil eden \$4,000.000 TL'nin tamanı ödenmiş olup, bu defa artırılan sermayeyi teşkil eden 270.000.000 TL'nin tamanı Sermaye Düzelimesi Olumlu Fatkları hesabından teşkil eden 270.000.000 TL'nin tamamı Sermaye Düzeltmesi Olumlu Farkları hesabından

olmak üzere iç kaynakların sermayeye ilavesi suretiyle karşılanmıştır Sermaye Düzelimesi Olumlu Farkları hesabından artırılan sermayeden pay sahiplerine payları oranında bedelsiz

pay veriecesur. Şirket'in sermayesi, gerektiğinde Türk Ticaret Kanunu ve Sermaye Piyasası Mevzuatı Şirket'in sermayesi, gerektiğinde Türk Ticaret Kanunu ve Sermaye Pıyasası Mevzuan hükümleri çerçevesinde artırılabilir veya azalıtlabilir Yonetim Kurulu, Sermaye Piyasası Kanunu hükümlerine uygun olarak gerekli gördüğü zamanlarda kayıtlı sermaye tavanına kadar yeni pay ihraç ederek çıkarılmış sermayeyi artıtımaya ve pay sahiplerinin yeni pay alma hakkının sınırlandırılması ile primli veya nominal değerinin altında pay ihraçı

konularında karar almaya yetkilidir. Yeni pay alma haklarını kısıtlama yetkisi pay sahipleri arasında eşitsizliğe yol açacak şekilde kullanılamaz.İşbu esas sözleşme maddesi ile tanınan yetki çerçevesinde Şirket Yönetim Kuruluncu alınan kararlar Sernnaye Piyasası Kurulu'nun belirlediği esaslar çerçevesinde ilan edilir.Sermayeyi temsil eden paylar kaydileştirme esasları çerçevesinde

kayıtın iztenir. Şirket Sermaye Piyasası Kanımı hükümlerine göre kayıtlı sermaye sistemini kabul etmiş ve Sermaye Piyasası Kurulu'nun 18/08/2011 tarih ve 27/782 sayılı izni ile kayıtlı sermaye

Sermaye Piyasası Kurulu'nun 18/08/2011 tarih ve 27/782 sayılı izni ile kayıtlı semuye sistemine geçmiştir. Sermaye Piyasası Kurulu'nca verilen kayıtlı semuye tavanı izni, 2025-2029 yılları (5 yıl) için geçerlidir. 2029 yılı sonunda izin verilen kayıtlı sermaye tavanına ulaşılamanışı olsa dahi, 2029 yılının bitiminden sonra yönetim kurulunun, sermaye artırını kararı alabilmesi için; daha önce izin verilen tavan ya da yeni bir tavan tutarı için Sermaye Piyasası Kurulu'ndan izin almak suretuyle genel kuruldan yeni bir süre için yetki alması zorunludur. Söz konusu yetkinin alınmaması durumunda yönetim kurulu kararıyla sermaye artırını vanılamazı

yapınmınız. Şirket'in kayıtlı serinaye tavanı 750.000.000 TL olup, her biri 1 (bir) TL itibari değerde olmak Bayer 550,000,000 alet hamiline yazılı paya ayrılmıştır. Şirketin çıkarılmış sermayesi 324,000,000 TL'dır.

Şirket'in sermayesi, gerektiğinde Türk Ticaret Kanunu ve Sermaye Piyasası Mevzuatı hükümleri çerçevesinde artınlabilir veya azaltılabilir Yönetim Kurulu, Sermaye Piyasası Kanunu hükümlerine uygun olarak gerekli gördüğü zamanlarda kayıtlı sermaye tavanına kadar yeni pay ihraç ederek çıkarılmış sermayeyi artırmaya ve pay sahiplerinin yeni pay alına hakkının sınınlandırılması ile primli veya nominal değerinin altında pay ihracı konularında karar almaya yetkilidir.
