CHANGE OF COMPANY NAME; ADOPTION OF NEW MEMORANDUM AND ARTICLES OF ASSOCIATION; AND CHANGE OF STOCK SHORT NAME

CHANGE OF NAME OF THE COMPANY

The English name of the Company has been changed from “Niche-Tech Group Limited” to “Niche-Tech Semiconductor Materials Limited”, and its dual foreign name in Chinese has been changed from “駿碼科技集團有限公司” to “駿碼半導體 材料有限公司”, both with effect from 7 September 2022.

ADOPTION OF NEW MEMORANDUM AND ARTICLES OF ASSOCIATION

The Existing Memorandum and Articles of Association have been amended and the New Memorandum and Articles of Association have become effective when the Proposed Change of Company Name took effect on 7 September 2022.

CHANGE OF STOCK SHORT NAME

The stock short name of the Company for trading in the Shares on GEM will be changed from “NICHE-TECH” to “NICHE-TECH SEMI” in English and from “駿碼 科技” to “駿碼半導體” in Chinese, with effect from 9:00 a.m. on 7 October 2022. The stock code of the Company on GEM will remain unchanged as “8490”.

Reference is made to the announcement of Niche-Tech Semiconductor Materials Limited (formerly known as Niche-Tech Group Limited) (the “ Company ”) dated 9 August 2022 and the circular of the Company dated 13 August 2022 (the “ Circular ”) in relation to the change of the names of the Company and the announcement of the Company dated 5 September 2022 relating to the poll results of an extraordinary general meeting held on 5 September 2022. Unless otherwise defined herein, capitalised terms used in this announcement shall have the same meanings as those defined in the Circular.

CHANGE OF NAME OF THE COMPANY

The Board is pleased to announce that the English name of the Company has been changed from “Niche-Tech Group Limited” to “Niche-Tech Semiconductor Materials Limited”, and its dual foreign name in Chinese has been changed from “駿碼科技集團 有限公司” to “駿碼半導體材料有限公司”, both with effect from 7 September 2022.

Subsequent to the passing of a special resolution to approve the Proposed Change of Company Name at the Extraordinary General Meeting, the Certificate of Incorporation on Change of Name has been issued by the Registrar of Companies in the Cayman Islands, certifying the change of the English name of the Company and the dual foreign name in Chinese of the Company to “Niche-Tech Semiconductor Materials Limited” and “駿碼半導體材料有限公司”, respectively, with effect from 7 September 2022. The Certificate of Registration of Alteration of Name of Registered Non-Hong Kong Company was issued by the Registrar of Companies in Hong Kong on 26 September 2022 confirming the registration of the new names of the Company in Hong Kong under Part 16 of the Companies Ordinance (Chapter 622 of the Laws of Hong Kong).

ADOPTION OF NEW MEMORANDUM AND ARTICLES OF ASSOCIATION

The Existing Memorandum and Articles of Association have been amended to, amongst others, (i) reflect the Proposed Change of Company Name, and (ii) comply with other relevant changes to the applicable laws of the Cayman Islands. The New Memorandum and Articles of Association have become effective when the Proposed Change of Company Name took effect on 7 September 2022, being the date of the issue of the Certificate of Incorporation on Change of Name by the Registrar of Companies in the Cayman Islands.

EFFECTS OF THE CHANGE OF NAME OF THE COMPANY

The change of name of the Company will not affect any rights of the holders of securities of the Company or the Company’s daily business operation and its financial position.

All share certificates in issue bearing the former name of the Company shall continue to be evidence of title to such Shares and the share certificates will continue to be valid for trading, settlement, registration and delivery purposes. There will not be any arrangement for exchange of the share certificates of the Company under its former name for new share certificates under the new name of the Company. New share certificates of the Company will be issued under the new name of the Company with effect from 7 October 2022.

The stock short name of the Company for trading in the Shares on GEM will be changed from “NICHE-TECH” to “NICHE-TECH SEMI” in English and from “駿碼科技” to “駿 碼半導體” in Chinese, with effect from 9:00 a.m. on 7 October 2022. The stock code of the Company on GEM will remain unchanged as “8490”.
