F1: Pioneer Step Holdings Limited ("Pioneer Step") acquired 538,462 shares of the Issuer's common stock at the closing of the first tranche pursuant to the Securities Purchase Agreement, dated April 26, 2017 the ("SPA"), by and among the Issuer, Champion River Ventures Limited ("Champion River") and Pioneer Step. Pursuant to the SPA, at the closing of the second tranche, which is expected to close within 30 days of the closing of the first tranche, Pioneer Step and Champion River have the right to acquire an additional 6,303,814 shares of common stock of the Issuer, with the allocation of such shares between Pioneer Step and Champion River to be mutually agreed upon by Pioneer Step and Champion River at the closing of the second tranche.

F2: The shares are held directly by Pioneer Step. The sole shareholder and sole director of Pioneer Step is Chau Hoi Shuen Solina Holly ("Solina Chau"). Solina Chau disclaims Section 16 beneficial ownership of the securities held by Pioneer Step, except to the extent of her pecuniary interest therein, if any.
