Sirs/महोदय,

In compliance to applicable regulation(s) of Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 (SEBI LODR), it is to inform that the 48[th] Annual General Meeting (AGM) of NHPC Limited will be held on Wednesday , the 28[th] day of August, 2024 at 02:30 P.M. (IST) through Video Conference (VC)/ Other Audio Visual Means (OAVM), in accordance with applicable provisions of the Companies Act, 2013 (the Act) and relevant circulars issued by Ministry of Corporate Affairs (MCA) & Securities and Exchange Board of India (SEBI). The Notice of 48[th] AGM alongwith Annual Report 2023-24 shall be submitted in due course and will also be made available on the Company’s website www.nhpcindia.com , websites of Stock Exchanges i.e BSE Limited and National Stock Exchange of India Limited at www.bseindia.com and www.nseindia.com respectively, and on the website of e-voting service provider i.e. M/s National Securities Depository Limited (NSDL) at www.evoting.nsdl.com .

In compliance to Regulation 42 of the SEBI LODR, it is to inform that:

• a) The Company has fixed Monday, August 12, 2024 as “ Record Date ” for determining entitlement of members to receive final dividend [as recommended by the Board of Directors @ 5.00% (Re.0.50 per equity share) on the paid-up equity share capital of the Company] for the financial year 2023-24, if declared at the AGM. The members, whose name appear in the Register of Members/ List of Beneficial Owners as on the record date will be entitled to receive final dividend. The final dividend, if declared at the AGM, will be paid as per the provisions of the Act.

• b) The Register of Members and Share Transfer Books of the Company will remain closed from Tuesday, August 13, 2024 to Wednesday, August 28, 2024 (both days inclusive) for the purpose of 48[th] AGM of the Company.
