TAKEOVER BID FOR EBONY ENERGY - NOTICE THAT DEFEATING CONDITIONS FREED

The Board of Hexagon Energy Materials Limited (ASX:HXG) ( Hexagon ) refers to the off-market takeover bid under Chapter 6 of the Corporations Act 2001 (Cth) ( Corporations Act ) by Hexagon for all of the fully paid ordinary shares in Ebony Energy Limited (ACN 149 240 657) ( Ebony ) ( Offer ).

Hexagon has today provided a notice that the Offer has been freed from its defeating conditions.

Attached is a copy of the notice given to Ebony today and lodged with ASIC as required by section 650F of the Corporations Act.

The Offer period, unless extended by Hexagon, expires at 5pm on 26 March 2021.

This announcement has been authorised by the Board of Directors of Hexagon.

Ebony Energy Limited (ACN 149 240 657) ( Ebony )

This is a notice given by Hexagon Energy Materials Limited (ACN 099 098 192) ( Hexagon ) in relation to the offer dated 16 February 2021 made under its off-market takeover bid to acquire all the ordinary shares in Ebony pursuant to its bidder’s statement dated 16 February 2021 ( Bidder’s Statement ).

Unless the context requires otherwise, defined terms in the Bidder’s Statement have the same meaning in this notice.

For the purposes of section 650F of the Corporations Act 2001 (Cth), Hexagon gives notice and declares that:

• (i) its Offer, and each contract resulting from acceptance of the Offer, is free from all the conditions set out in section 12.8 of the Bidder’s Statement. Accordingly, the Offer is now unconditional; and

• (ii) as at the date of this notice, Hexagon’s voting power in Ebony was 95.56% (comprising 111,508,357 shares out of a total 116,694,626 shares currently on issue in Ebony).
