Item 8.01 Other Events.

On May 27, 2025, NextPlat Corp (the “Company”), issued a press release regarding the sudden passing of Charles M. Fernandez, its Executive Chairman and CEO on Saturday, May 24, 2025, and announcing the appointments by the Company’s Board of Directors of Rodney Barreto as Interim Chairman and David Phipps as Interim Chief Executive Officer. A copy of the press release is filed as Exhibit 99.1 to this Current Report on Form 8-K.
