Item 8.01. Other Events.

On September 17, 2021, the Company issued a press release announcing the closing of its initial public offering of 7,187,500 shares of common stock at a public offering price of $4.00 per share, including 937,500 shares sold upon full exercise of the underwriter’s option to purchase additional shares. The gross proceeds from the offering, including the over-allotment option shares, were $28,750,000, before deducting underwriting discounts, commissions and offering expenses. A copy of the press release is attached as Exhibit 99.1 hereto and incorporated herein by reference.
