Re: NEXTFERM TECHNOLOGIES LTD

    1. On September 2, 2025 the Company announced that, in accordance with ISA's position, the Company is a "shell company".
    1. According to the fourth part of TASE'srules, the definition of a company as a "shell company" is a cause for transferring its securities to the maintenance list. In light of the above, the company's shares (ISIN No. IL0011719338) will be transferred to the maintenance list on September 4, 2025, and the letter M will be added to the company's name and to the names and symbols of its shares.
    1. The sector classification of the company will be changed from "TECHNOLOGY FOODTECH" to REAL-INVESTMENT& HOLDINGS- INACTIVE +SHELL".
    1. According to TASE's rules and regulations, a shell company that wishes to renew trading in its securities on the main list has to fulfill the conditions required of a new company first listed on TASE. These terms apply to the company.
    1. According to TASE's rules, a security shall be de-listed from trade if 48 months have passed from the date on which the security ceased to be traded in the framework of the main list, and the conditions for the renewal of trade therein on the main list have not been fulfilled, without further discussion by the board of directors.

Accordingly, if the conditions for resuming trading in the company's shares on the main list are not met, the company's shares will be de-listed at the end of 48 months from September 4, 2025.
