SECTION 2 - FINANCIAL INFORMATION

Item 2.01 Completion of Acquisition or Disposition of Assets

On July 29, 2018, NextEra Energy, Inc. completed the previously announced acquisition of the outstanding common shares of the entity that owns Florida City Gas (FCG) under a stock purchase agreement with NUI Corporation and Southern Company Gas, affiliates of The Southern Company, for approximately $530 million in cash subject to certain adjustments. FCG serves approximately 110,000 residential and commercial natural gas customers in Florida's Miami-Dade, Brevard, St. Lucie and Indian River counties with 3,700 miles of natural gas pipeline.
