11[th] March, 2022 has, inter-alia, transacted the following businesses:-

1. Took note of the resignation of Mr. Ramesh Menon as Chief Executive Officer (KMP under the Companies Act, 2013) of the Company w.e.f. 13[th] April, 2022 (closing business hours). Mr. Menon has also resigned as Chief Executive Officer of Next Radio Limited (‘NRL’), material subsidiary company w.e.f. 13[th] April, 2022 (closing business hours).

2. Approved the appointment of Mr. Ajit Dheer as Senior Management Personnel on or after 2[nd] April, 2022 and he will take over as Chief Executive Officer (KMP under the Companies Act, 2013) of the Company w.e.f. 14[th] April, 2022.

3. Mr. Dheer has also been appointed as Chief Executive Officer of NRL w.e.f. 14[th] April, 2022.

4. Approved the appointment of Mr. Harshit Gupta as Company Secretary and Compliance Officer (KMP under the Companies Act, 2013) w.e.f. 11[th] March, 2022.

3	Brief Profile_(in case of_ appointment)		Brief profile of Mr. Ajit Dheer Mr. Dheer is a Business Leader with 25 years of experience in leading step change and building strong businesses. He has extensive general management and P&L management experience with functional expertise in sales, customer management, go to market & finance. Currently, Mr. Dheer is National Head Circulation at HT Media Limited (Holding Company) and has been given the additional responsibility of Chief Revenue Office for WUP and UK region. At HT Media Limited, since 2019 Mr. Dheer had transformed the Circulation Ecosystem through adoption of technology and digitization and successfully enhanced revenue per copy while reducing costs. Under his leadership, we have gained circulation share across English and Hindi markets and seen value share gains in advertising sales in WUP and UK. Prior to joining HT Media in 2019, Mr. Dheer worked in PepsiCo for 11 years, where for a period of +2 years (Jan 2017 – Apr 2019) he was the CEO and MD of NourishCo Beverages Ltd (TATA PepsiCo JV) and managed to achieve break-even in 2017. At NourishCo, he built a sustainable business model through product & GTM innovation and future ready people practices. Other roles in PepsiCo included Sr. Director GTM, Sr. Director Franchisee and VP Operations (KA & KL). From 2006 to 2008, Mr. Dheer was National Merchandizing Officer at Spenser’s Retail and prior to which from 1997 to 2006 he worked at Reckitt Benckiser India Ltd, Cargill India Pvt. Ltd. and Dabur Foods in the sales function. Mr. Dheer is PGDM from MDI, Gurgaon (1997) and B. Tech from IT BHU(1995).

Brief profile of Mr. Harshit Gupta

Mr. Harshit Gupta an associate member of the Institute of Company Secretaries of India bearing membership no. A41111, is having an experience of over six years in Corporate arena. In his last stint, he was associated with Tata Steel Group. In Tata Steel Group, he has worked with Tata Steel Limited, Tata Steel BSL Limited, Tata Steel Utilities and Infrastructure Limited and other step down subsidiaries. He has demonstrated skills in the core Secretarial role, Corporate Affairs, Governance and Ethics. He is specialized in handling Corporate Social Responsibility assignments involving need assessment, community engagement, impact assessment and reporting. He has also looked after compliance management system involving implementation, sustenance and reporting of compliances relating to Corporate, Fiscal, Economic, HR, Health Safety and other laws.
