ADDENDUM TO THE INFORMATION CIRCULAR OF BIOHEP TECHNOLOGIES LTD. (the “Company”)

dated the 6[th] day of April, 2021

This is an addendum to the Management Information Circular (the “ Circular ”) dated as of March 11, 2021 for the annual general and special meeting of shareholders of BioHep Technologies Ltd. to be held on April 12, 2021. This update is at the request of the Ontario Securities Commission upon review of the Circular, which required additional disclosure that was inadvertently omitted from the section “Voting Securities and Principal Holders of Voting Securities” on page 23 of the Circular.

The following text should be taken out:

“To the knowledge of the directors and executive officers of the Company, no person or company beneficially owns, directly or indirectly, or exercises control or direction over, BioHep Shares carrying more than 10% of the voting rights attached to all outstanding BioHep Shares.”

and be replaced by the following text and table:

“To the knowledge of the directors and executive officers of the Company, the only persons or corporations that beneficially owned, directly or indirectly, or exercised control or direction over, common shares carrying more than 10% of the voting rights attached to all outstanding common shares of the Company as at March 11, 2021 is as set out in the following table:
