The shareholders of NEXT Biometrics Group ASA ("the Company") are hereby summoned to the annual general meeting of the shareholders on Wednesday May 15th, 2018 at 10:00 at: Advokatfirmaet Stenstrup Stordrange DA (SANDS), Cort Adlers gate 33, 0254 Oslo, Norway.
The following items are to be addressed:
1. Election of a person to chair the meeting
2. Approval of notice and the agenda
3. Election of a person to co-sign the minutes
4. Approval of the annual accounts and the annual report for the financial year 2017
5. Approval of the auditor's remuneration
6. Election of Members of Board of Directors
-Magnus Mandersson (chairperson)
-Tore Etholm-Idsøe (board member)
-Brita Eilertsen (board member)
-Emanuel Lang (board member)
-Emine Lundkvist (board member)
7. Remuneration to the members of the Board of Directors
8. Election of members to the nomination committee
9. Remuneration to the members of the nomination committee
10. Consideration of the Board of Directors' statement regarding the determination of salaries and other remuneration to the management.
11. Statement on corporate governance pursuant to section 3-3b of the Norwegian Accounting Act
12. Authorizations to the Board of Directors
