Notice of Annual General Meeting 15 June 2016

The shareholders of NEXT Biometrics Group ASA ("the Company") are hereby

summoned to the Annual General Meeting of the shareholders on Wednesday 15 June,

2016 at 15:00 at Advokatfirmaet Thommessen, Haakon VIIs gate 10, 0161 Oslo, Norway.

The following items are to be addressed:

1.Election of a person to chair the meeting

2.Approval of notice and the agenda

3.Election of a person to co-sign the minutes

4.Approval of the annual accounts and the annual report for the financial year 2015

5.Approval of the auditor's remuneration

6.1 Remuneration to the members of the board of directors

6.2 Remuneration to the members of the board of directors - Committee work

7. Election of members and remuneration to the nomination committee

8. Consideration of the Board of Directors' statement regarding the determination of

salaries and other remuneration to the management.

9. Statement on corporate governance pursuant to section 3-3b of the norwegian

Accounting Act

10. Repair issue

11.1 Authorisation to issue shares under the Company's share option program

11.2 Authorisation to increase the share capital
