Next Fifteen Communications Group plc announces that application has been made to the London Stock Exchange for 48,993 new ordinary shares of 2.5 pence each in the Company (‘Ordinary Shares’) to be admitted to AIM.

The application is in respect of Ordinary Shares issued on 30 January 2019 as part of the deferred consideration payable in respect of the Company’s acquisition of the entire issued share capital of Encore Digital Media Limited, a programmatic advertising technology business which was originally announced on 28 April 2015.

The terms of the acquisition were amended as announced on 29 September 2017 bringing forward payment of a portion of the deferred consideration. The terms of the acquisition were again amended on 30 January 2019 bringing forward payment of all outstanding amounts payable to one vendor on his departure from the business. All consideration paid and payable in respect of the Encore acquisition remains subject to the original undisclosed cap.

Application has been made to the London Stock Exchange for the new Ordinary Shares in Next 15 to be admitted to AIM and it is expected that admission will take place on or around 4 February 2019. The new ordinary shares will rank pari passu with the existing ordinary shares, including the right to receive all dividends declared, made or paid hereafter. Following the issue and allotment of the new ordinary shares, the Company will have 83,563,988 Ordinary shares in issue. No Ordinary Shares are held in treasury.
