On 7 August 2012, Beyond Corporation Limited (“Beyond”), a subsidiary of Next Fifteen Communications Group plc ("Next 15" or the “Company”) acquired the entire issued share capital of Content and Motion Limited from Roger Warner. As part of the consideration, Mr Warner received shares in Beyond. Pursuant to the Beyond shareholders’ agreement, Mr Warner is entitled to sell his shares in Beyond to Next 15 when he resigns from Beyond and part of the consideration for such shares is payable in Next 15 shares. Accordingly, 47,923 new ordinary shares of 2.5 pence each in the Company ("Ordinary Shares") have been issued and allotted today in respect of this consideration.

Application has been made to the London Stock Exchange for the new Ordinary Shares to be admitted to AIM and it is expected that admission will take place on 4 June 2014. Following the issue and allotment of the new Ordinary Shares as described above, the Company will have 60,834,390 Ordinary Shares in issue. No shares are held in treasury.
