Item 8.01 Other Events.

On August 1, 2025, Nexstar Media Group, Inc. issued a press release, a copy of which is attached hereto as Exhibit No. 99.1 and incorporated by reference herein, announcing that its Board of Directors has declared a quarterly cash dividend of $1.86 per share on its outstanding common stock. The dividend is payable on August 29, 2025 to stockholders of record on August 15, 2025.
