VIA LIBERA DALLA COMMISSIONE EUROPEA ALLA FUSIONE NEXI - NETS

Milano, 9 marzo 2021 – Nexi informa che in data odierna la Commissione Europea ha rilasciato la propria autorizzazione alla prospettata fusione tra Nets e Nexi. L'autorizzazione antitrust è incondizionata e non prevede impegni a carico delle parti.

A seguito dell'approvazione della fusione da parte dell'assemblea di Nexi del 3 marzo 2021 e del completamento della vendita del business account-to-account di Nets intervenuto il 5 marzo 2021, proseguono quindi le attività che porteranno, una volta ottenute le restanti autorizzazioni previste dagli accordi in essere, alla combinazione strategica tra i due gruppi e alla nascita di una tra le paytech leader in Europa.

OBTAINMENT OF THE EC ANTITRUST CLEARANCE FOR THE NEXI/NETS MERGER

Milan, 9 March 2021 - Nexi hereby announces that today the European Commission granted the clearance to the proposed merger between Nets and Nexi. The antitrust clearance is unconditional and does not require any commitments from the parties.

Following the approval of the merger by Nexi's shareholders' meeting on 3 March 2021 and the completion of the sale of the Nets' account-to-account business, the activities that will lead to the strategic combination of the two groups and the creation of one of Europe's leading paytech companies, once the remaining authorisations provided under the existing agreements are obtained, are therefore continuing.
