APPOINTMENT OF A BOARD MEMBER
Milan, 9 October 2025 – Nexi S.p.A. ("Nexi" or the "Company") announces that the Board of Directors of the Company, during today's meeting, appointed by co-optation Mr. Maurizio Dainelli as a non-executive Director, after the favorable opinion of the Board of Statutory Auditors. Mr. Dainelli declared to meet the independent requirements pursuant to Article 148, paragraph 3, of Legislative Decree No. 58/1998 (the "TUF"), as referred to by Article 147-ter, paragraph 4, of the TUF.

Mr. Dainelli will remain in charge until the next Shareholders' Meeting and, as of today, does not own any shares in Nexi.
