This Management Discussion & Analysis (“MD&A”) of NEXE Innovations Inc. and its subsidiaries (referred to as the “Company” or “NEXE”) was prepared by management as of September 29, 2021 and was reviewed and approved by the Board of Directors of NEXE. The following discussion of performance, financial condition and future prospects should be read in conjunction with the audited consolidated financial statements for the year ended May 31, 2021, and 2020, and the notes thereto (the “Financial Statements”), which have been prepared in accordance with International Financial Reporting Standards (“IFRS”), as issued by the International Accounting Standards Board (“IASB”). The information provided herein supplements but does not form part of the Financial Statements. This discussion covers the year ended May 31, 2021, and the subsequent period up to the date of issue of this MD&A.
The Company has prepared this MD&A following the requirements of National Instrument 51-102 (“NI-51-102”). These statements are filed with the relevant regulatory authorities in Canada. All currency amounts are expressed in Canadian dollars unless otherwise noted.
DESCRIPTION OF BUSINESS
The Company has developed both Keurig and Nespresso machine-compatible single-serve pods made from plantbased materials, making them fully compostable. At the Company’s head office facility in Surrey, British Columbia, the Company uses proprietary injection molding processes, significantly decreasing supply chain risk, and increasing quality control. The Company, with its sophisticated capsule manufacturing capabilities, is one of the only solutions providers in the single-serve space that work with plant-based polymers. The advanced CNC machines enable the Company to design and build rapid prototype molds in-house. This in-house testing process contributes to the Company’s ability to develop innovative single-serve packaging in multiple formats.
The Company will continue to commercialize the NEXE Pod in Keurig and Nespresso format capsules and intends to develop the NEXE brand as the standard in fully compostable packaging. Ultimately, the Company aspires to be a leading partner to major consumer packaging companies (CPG) and provide compostable solutions for a variety of beverages, including coffee, tea, and others.
OBJECTIVES AND STRATEGY
NEXE is placing the planet first. The Company’s mission is to eliminate petroleum-based plastics from the planet by innovating and manufacturing 100% plant-based materials that can be returned to the soil after use. With proprietary in-house equipment and processes, the Company designs, manufactures, and commercializes fully compostable, plant-based materials for everyday consumer products including but not limited to single-serve coffee pods compatible with Keurig and Nespresso Machines. The Company has developed one of the only patented, fully compostable, plant-based, single-serve coffee pods for use in leading single-serve coffee machines. The proprietary NEXE pod is designed to reduce the significant environmental impact caused by single-serve pods – over 50 billion of which are discarded every year. Hundreds of municipalities in the European Union, Canada, and the United States are moving in the direction of introducing comprehensive compost systems, making the NEXE Pod a viable alternative to the typical plastic coffee capsules currently available in the marketplace.
For the past five years, the Company’s research and development with its engineering teams and scientific partners have been hard at work figuring out how to make plant-based material scalable for high-speed manufacturing. Today, the Company’s state-of-the-art facility positions NEXE to go above and beyond as it transforms wasteful consumer practices into powerful change and innovation. With over $60 million raised to date from equity and government funding and over six years of R&D, NEXE is well-positioned at the forefront of advanced material manufacturing and automation to meet the growing demand for environmentally friendly and sustainable products in the single-serve coffee sector and beyond.

OVERVIEW OF PERFORMANCE
During the year ended May 31, 2021, the Company focused on completing certain key milestones towards commercialization of the fully compostable NEXE Pod. These milestones are as follows:

Received the results of its final compost study which states that the NEXE Pod, is compatible with Keurig machines, is fully compostable in as little as 35 days.

Achieved a Key Composting Milestone for its upcoming NEXE Nespresso® Compatible Pods. NEXE Nespresso Compatible Pods achieved 100% breakdown by composting within 10 weeks.

Completed factory and site acceptance testing for dosing and sealing machines for the NEXE Pod in the Nespresso Original Line format

Awarded $300,000 Grant from the Government of British under the BC Ignite Program.

Awarded $1,000,000 from the Government of Canada (“GOC”). The award is part of Phase 2 of the GOC’s Plastics Challenge: Improved Compostability of Bioplastics, named the Bioplastics Challenge.

Completed the commercialization of the NEXE Soluble Pod (i.e., Superfoods like MCT, Keto, and Turmeric).

Announced Pilot Launch Nespresso Original Line compostable capsule subsequent to end of year and soon to add more roast profiles (NexeCoffee.com).
Furthermore, NEXE is in discussions with various commercial entities which could eventually serve as customers.
COMMITMENTS
Equipment Procurement
The Company has committed to procuring production equipment that totaled €1,793,000 and US$592,045, of which payments of €610,000 and US$288,146, respectively, were made, with the remaining balances owed of €1,163,000 and US$303,898 respectively, totaling approximately $2,112,854 as at May 31, 2021. The transactions were recorded in prepaid expenses, deposits, and supplies. The equipment is expected to be delivered in calendar Q4 2021 with remaining payments due on delivery.
Subsequent to year-end, the Company committed to acquiring 7 Nespresso and K-cup machines for €5,045,000 (approximately $7.5 million) from an Italian manufacturer.
Warehouse Space Lease Agreement
The Company has entered into an agreement for leased premises commencing February 1, 2021 and ending on February 28, 2026. Total future minimum lease payments (net of any sub-lease arrangements) under the contract are as follows: Within 1 year - $155,851; 2 to 4 years – each $157,500; and the remaining - $170,625.

Whatcom Capital Corp. (“Whatcom”) completed an initial public offering as a Capital Pool Company and listed its

common shares on the TSX Venture Exchange (the “Exchange”) on June 4, 2020. On December 15, 2020, Whatcom completed its qualifying transaction (the “Transaction”) with Nexe Innovations Inc. (“Privco”).
In conjunction with closing of the Transaction, Whatcom completed a share consolidation on the basis of two and one-half pre-consolidation common shares of Whatcom which were exchanged for one post-consolidation common share of Whatcom (the “Consolidation”). Each holder of Privco common shares received one (1) postConsolidation common share of Whatcom (a “Resulting Issuer Share”) for each Privco common share held, each holder of Privco Class A Preferred Shares, Series A (“Series A Shares”) received one (1) Resulting Issuer Share for each Series A Share held, each holder of Privco Class A Preferred Shares, Series A Preferred (“Series A Preferred Shares”) received one (1) Resulting Issuer Share for each Series A Preferred Share held, and each holder of Privco Class A Preferred Shares, Series 1 (“Series 1 Shares”) received one and one-half (1.5) Resulting Issuer Shares for each Series 1 Share held.
All outstanding convertible securities of Privco, including Privco share purchase warrants and Privco stock options were exchanged for or replaced with convertible securities of the Resulting Issuer based on a 1:1 ratio and on the same economic terms and conditions as previously issued. Upon completion of the Transaction, Privco became a wholly owned subsidiary of the Company, and the Company changed its name to “NEXE Innovations Inc.”.
The Transaction was measured at the fair value of the shares that NEXE would have had to issue to shareholders of Whatcom to give shareholders of Whatcom the same percentage equity interest in the combined entity that results from the reverse takeover had it taken the legal form of NEXE acquiring Whatcom. The fair value of the common shares was determined to be $0.80 based on the concurrent NEXE Private Placement and was considered as a significant estimate and judgement.
On December 15, 2020, the Company received proceeds from its brokered private placement (the “Brokered Private Placement”) of 11,437,500 subscription receipts (each, a “Subscription Receipt”) at a price of $0.80 per Subscription Receipt for aggregate gross proceeds of $9,150,000. The Brokered Private Placement was led by Canaccord Genuity Corp. (the “Agent”). Under the Brokered Private Placement, the Agent received a cash commission of up to 7% of the total proceeds of the Brokered Private Placement except for subscribers of the president’s list in which case the Agent received a cash commission of up to 3%. The Agent was also issued a total 692,585 non-transferable common share purchase warrants (each an “Agent’s Warrant”). Each Agent’s Warrant was exercisable into one Resulting Issuer Share at a price of $0.80 until December 15, 2021. The Agent also received a corporate finance fee consisting of $75,000 in cash and 93,750 Resulting Issuer Shares. NEXE also paid the Agent’s reasonable out-of-pocket expenses, including legal fees, plus disbursements and taxes.
Additionally, the Company closed and received Subscriptions to the non-brokered private placement (“NBPP”) that totaled $5,018,562 in gross proceeds and issued 6,273,203. This represented an oversubscription of $518,562 from the previously announced NBPP financing of $4,500,000. Each unit (“Unit”) at a price of $0.80 per unit in conjunction with closing the Transaction, will consist of one common share of the Company and one share purchase warrant, with each warrant entitling the holder to purchase a common share of the Company at a price of $1.00 per share until December 15, 2021.
The Transaction closed on December 15, 2020, and trading in the common shares of Nexe Innovations Inc. began on the Exchange under the stock symbol “NEXE” on December 18, 2020.
GOVERNMENT LOAN
During the year ended May 31, 2017, the Company was approved to receive up to $2,500,000 of loans from Pacific

Economic Development Canada (formerly Western Economic Diversification Canada). The project costs include, but are not limited to, the following:

The Company drew down its final tranche of the loan during the year ended May 31, 2020, in the amount of $580,590. The Company is required to make monthly repayments of $41,667, which were to commence August 1, 2020, however, an extension to January 1, 2021 for repayment was granted, with a new maturity date of December 31, 2025.
The loan, at inception, was considered as an interest free loan and the difference between the fair value of the loan and the principal was credited against plant and equipment.
GOVERNMENT GRANTS
On April 21, 2020, the Company signed an agreement with the Department of Natural Resources, Innovative Solutions Canada to commence a project to develop a fully compostable coffee pod that meets the required dimensions required for Nespresso coffee makers using plant-based polymers and, or wood fibre composites, in return for the Company to receive a $1,000,000 grant. Payments were made to the Company in four equal payments of $250,000 - June, September, and October 2020, and January 2021.
On January 14, 2021, the Company announced that it was the recipient of the $1,000,000 grant by the Government of Canada (“GOC”) to support the commercialization of its NEXE Nespresso -Compatible Pods. The award is part of Phase 2 of the GOC’s Plastics Challenge: Improved Compostability of Bioplastics (“Bioplastics Challenge”). This follows a $150,000 grant that NEXE received in 2019 during Phase 1 of the program to support prototype - development. This award will support the high-speed manufacturing of the Company’s NEXE Nespresso Compatible pods following the announcement of best-in-class composting results last week.
This project was recognized for its potential to improve the compostability of bioplastics and to substantially reduce plastic waste.
The Company is required to submit a detailed report to the Department of Natural Resources, Innovative Solutions Canada by May 31, 2022, outlining its activities and how they have contributed to the achievement of the objectives, benefits, and key performance measures of the project. Since the project continues to be a work-inprogress, the Company has recorded a deferred liability of $1,000,000 in the statements of financial position. The Company has further de-risked this project post year-end through its commercial launch of its fully compostable espresso style pods.
XOMA SUPERFOODS LAUNCH

brewing systems under the in-house brand Xoma Superfoods. The Xoma Superfoods pilot launch consisted of one product line, Xoma MCT, which is a unique blend of a micro-ground soluble coffee with Organic MCT (MediumChain Triglycerides). It was a pivotal milestone for the Company to commercialize the Nexe Pod, which is one of the first patented single-serve Keurig Compatible rigid pods that is made from plant-based materials.
On April 6, 2021, the Company announced the launch of two additional product lines under the Xoma brand, which are Mindful Mushroom and Xoma Keto. The Company’s fully compostable plant-based NEXE pod is the perfect delivery mechanism for future Xoma products and adheres to NEXE’s environmental, social, and corporate governance (ESG) goals. NEXE pods are fully compostable and meet international standards for certification as compostable materials, without the need to disassemble the pod after use, products provide convenience, making it easy to integrate more superfoods into consumers’ diet without creating additional waste, or making a mess of the kitchen.

FACILITY EXPANSION
On January 20, 2021, the Company announced the expansion of its research, development, and manufacturing facility in Surrey, B.C., by leasing an adjacent bay and adding to its existing facility of approximately 10,000 sq. ft. facility, increasing total square footage to approximately 20,000 sq. ft. The expansion was a strategic business decision to enhance vertical integration in its supply chain, in order to increase product margins, protect intellectual property (IP) and mitigate supply chain risk. The expansion allowed for increased space for manufacturing equipment, laboratories, offices, and the factory floor. Using proven technologies developed by the Company in collaboration with leading experts in plant-based materials, the Company can bring key manufacturing processes to commercial scale in-house. increasing vertical integration in production, the Company can reduce or eliminate many uncertainties in production as it scales up. By upgrading plant operations to produce plant-based resins and parts in-house using proven technology, NEXE will have greater control over product development from conception to manufacturing.
COVID-19 PANDEMIC
On March 11, 2020, the World Health Organization declared COVID-19 a global pandemic. This contagious disease outbreak and any related adverse public health developments, has already adversely affected workforces, economies, and financial markets globally, leading to an economic downturn. The Company has established key guidelines and procedures related to security and access controls, health screening, isolation and quarantine, and facility infrastructure, maintenance, and cleaning, to ensure that its workplace practices are in line with local government recommendations and requirements, as well as compliant with the appropriate standards of safety, health, wellness and required workplace readiness. The Company continues to monitor key suppliers to prevent service disruptions or significant impacts in the delivery of services or goods from its suppliers.
As a result of the pandemic, the Company has experienced supply chain disruptions, particularly with machinery, human resource constraints, deterioration of consumer demand and market volatility. Although global market conditions may have affected market conditions and consumer spending patterns, the Company remains well placed to grow revenues through product innovations. The Company has reviewed its exposure from other emerging business risks but has not identified any other risks that could significantly impact the estimates used in the determination of plant and equipment, lease liability, and intangible assets that may have a significant impact on the Company’s financial performance.
SUBSEQUENT EVENTS
On July 29, 2021, the Company launched its premium espresso pods in the U.S. and Canada at nexecoffee.com. This is the first NEXE-branded coffee product that the Company is introducing into the single-serve coffee pod market that is currently valued at more than US$25 billion annually. Approximately 56 billion coffee pods are consumed each year which end up in the landfill and can take up to 500 years to decompose leaving behind contamination and microplastics. Recyclable pods often include non-recyclable plastic and aluminum - making them less likely to be recycled properly or recycled at all. The Company has invested over six years into research and development to create its proprietary and fully compostable coffee pod. The new Nespresso® compatible pod breaks down in as little as just 30 days, similar to the time it takes for an apple core to decompose.

RESULTS OF OPERATIONS
FINANCIAL RESULTS for the YEAR ENDED MAY 31, 2021
For the year ended May 31, 2021, the Company recorded a net loss of $17,178,988, or $0.37 per share, compared to a net loss of $2,187,603, or $0.12 per share, for the year ended May 31, 2020. The increase was a result of the following:

Consulting fees increased to $1,858,458 (2020 - $51,856) which included the write-off of shares valued at $418,000 that were issued the date of these consolidated financial statements, the Company has not received sufficient evidence that payment has been received for these shares, the balance for corporate development, and accounting and regulatory management services. The Company is pursuing the return of the shares and warrants to its treasury;

Research and development expenses increased to $666,725 (2020 - $46,839) primarily due to the development and testing of products;

The Company recorded warrant-based compensation of $1,715,475 (2020 - $nil) which was due to the issuance of the fair value of 3,250,000 performance warrants. During the three months ended May 31, 2021, the Company had a net loss of $8,948,761, or $0.19 per share, compared to a net loss of $735,718, or $0.04 per share, for the comparable period last year. The increased net loss was predominantly a result of the following:

The Company’s ability to raise additional capital is subject to a number of factors, uncertainties and risks including market conditions that could make it difficult or impossible for the Company to raise necessary funds to meet its capital and operating requirements. If the Company is unable to obtain financing through commercial profitability or equity investments, it may consider other financing solutions including, but not limited to credit facilities or debenture issuances.
All cash is held with Schedule A banks either in deposit accounts or guaranteed investment certificates, and the Company has no joint ventures with any parties that may potentially create derivative or hedge risk.
OPERATING ACTIVITIES
For the year ended May 31, 2021, the Company’s operating activities used cash of $10,444,763, compared to cash used of $1,749,420 for operating activities for the year ended May 31, 2020.
FINANCING ACTIVITIES
For the year ended May 31, 2021, cash and cash equivalents provided by financing activities of $58,673,585, compared to cash and cash equivalents provided of $5,583,676 for the year ended May 31, 2020.
As at May 31, 2021, the Company had 96,628,674 issued and outstanding (May 31, 2020: 18,182,004) common shares after the bought deal financing and conversion of all other classes of shares namely Class A, Series 1 shares, Class A, Series A, and Class A Series A preferred shares.
During the year-ended May 31, 2021, the Company issued the following common shares: 35,269,453 common shares from financings for proceeds, net of share issuance costs, of $46,062,250; 25,855,396 common shares for proceeds of $12,116,542 from the conversion of preferred shares; 12,027,420 common shares from the exercise of warrants for proceeds of $10,590,142; and 1,294,401 common shares from the exercise of options for proceeds of $405,123.
INVESTING ACTIVITIES
For the year ended May 31, 2021, cash and cash equivalents used by investing activities of $1,013,554, compared to cash and cash equivalents used of $522,793 for the year ended May 31, 2020.
CONTINGENCIES
The Company is party to legal proceedings and has determined that each such proceeding constitutes a routine matter incidental to the business it conducts and that the ultimate disposition of the proceedings, it is anticipated will not have a material effect on its statements of loss or comprehensive loss, statements of financial position, or statements of cash flows.
The Company has two breach of contract cases that it is currently being defended and management believes that these claims are without merit.
On August 23, 2018, a third party brought an action against G-PAK Holdings Ltd. (Nexe Innovations Inc.). The Company has defended the claim on the basis that the work was done by the third party was defective.
No provision for these claims was recorded as of May 31, 2021 as management believes they are without merit.

CAPITAL MANAGEMENT
The Company manages its capital to maintain its ability to continue as a going concern and to provide returns to shareholders and benefits to other stakeholders. The capital structure of the Company consists of cash and equity comprised of issued capital, share option reserve, and contributed surplus.
The Company manages its capital structure and adjusts, when required, considering certain economic conditions. The Company, upon approval from its Board of Directors, will balance its overall capital structure through new share issuances or by undertaking other activities as deemed appropriate under the special circumstances.
The Company is not subject to externally imposed capital requirements and the Company’s overall strategy with respect to risk management remains unchanged from the year ended May 31, 2020.
OUTLOOK
The Company’s primary focus is to commercialize the manufacturing facility to eventual capacity as it continues to receive the various important integrated pieces of equipment and supply chain. To streamline and scale production, the Company is working with various equipment manufacturers, globally, that not only help the Company reach scale but also to help develop the proprietary elements that increase the Company’s intellectual property portfolio. Furthermore, as the organization continues to face the logistical bottlenecks brought on by COVID-19, the Company is also assessing more localized solutions as part of the manufacturing process to further expedite capacity build-out and build improved vertical integration as part of the process. Increased vertical integration means that the Company will be less reliant on third parties for manufacturing and that we are better able to handle the various components of the manufacturing process in-house.
As part of the Company’s public and secondary offerings in the past two quarters, it intends to use this capital to commercialize and scale the XOMA Superfoods line as well as its coffee offerings for both the Nespresso and Keurig brewing systems within fiscal 2022 by adding new SKUs for each as the Company expands capacity. The Company will be doing so by bringing on experienced team members who have expertise in operations, manufacturing, sales and marketing, and product development. In light of the recent and ongoing COVID-19 pandemic, the Company has decided to launch its own product lines as part of a direct to consumer (“DTC”) offering. The Company intends to generate sales in fiscal 2022 through its own proprietary DTC sites as well as through third party established sites, such as Amazon.com and Amazon.ca. Although the Company has taken the initiative to sell primarily and directly online, it is in ongoing discussions with various well-established retailers and coffee co-packers and roasters to get onto “brick and mortar” retailer shelves as key equipment for capacity arrives through the fiscal year.
Furthermore, the Company’s marketing and distribution strategy also entails channel specific campaigns to boost trial and brand loyalty, launch consumer marketing promotion with well-established online platforms, and develop a strong social media presence, including the use of influencers. The Company intends to educate its audience on how it differs from the marketplace including what compostability means through various messaging conducted by way of educational online videos and ads. The Company, also, believes that as it begins to focus on in-store sales, that it will focus on a strong trade and consumer show presence and geo-targeted and point of sale positioning to better display and sell its pods within the retailers.

payable. The carrying values of these financial instruments approximate their fair values with the exception of loan payable due to their relatively short periods to maturity.
The Company’s risk management policies are established to identify and analyze the risks faced by the Company, to set appropriate risk limits and controls, and to monitor risks and adherence to market conditions and the Company’s activities. The Company has exposure to credit risk, liquidity risk and market risk as a result of its use of financial instruments.
This note presents information about the Company’s exposure to each of the above risks and the Company’s objectives, policies, and processes for measuring and managing these risks. Further quantitative disclosures are included throughout these Financial Statements. The Board of Directors has overall responsibility for the establishment and oversight of the Company’s risk management framework. The Board has implemented and monitors compliance with risk management policies.
(a) Credit risk:
Credit risk is the risk of financial loss to the Company if a counterparty to a financial instrument fails to meet its contractual obligations. The Company’s cash and cash equivalents as well as other receivables, are subject to credit risk for a maximum of the amount shown on the consolidated statements of financial position. The Company limits its exposure to credit risk on cash and cash equivalents by depositing only with reputable financial institutions and limits its exposure to credit risk on other receivables by only working with large and well-funded organizations. Management believes that the Company is subject to minimal credit risk.
(b) Liquidity risk:
Liquidity risk is the risk that the Company will not be able to meet its financial obligations as they fall due. The purpose of liquidity risk management is to maintain a sufficient amount of cash and cash equivalents to meet its liquidity requirements at any point in time. The Company uses cash to settle its financial obligations as they fall due.
The Company prepares annual expenditure budgets, which are regularly monitored and updated as considered necessary. To facilitate its expenditure program, the Company raises funds through financings and anticipates it will have adequate liquidity to fund its financial liabilities.
As at May 31, 2021, the Company’s financial liabilities were comprised of accounts payable and accrued liabilities, which have a maturity of less than one year and a loan payable, which is payable over five years commencing January 1, 2021.
(c) Interest rate risk:
Interest rate risk is the risk that the fair value or the future cash flows of a financial instrument will fluctuate because of changes in market interest rates. The Company is only subject to interest rate risk on its cash and term deposits in the bank and there is unlikely to be a material impact on net income (loss) as the bank deposits are short term.
(d) Foreign Exchange Rate Risk:
Foreign exchange risk is the risk that the Company’s financial instruments will fluctuate in value as a result of movements in foreign exchange rates. The Company is not exposed to any significant foreign exchange rate risk.

As of the date of this MD&A, the Company had no off-balance sheet arrangements.
TRANSACTIONS WITH RELATED PARTIES
The related party transactions are in the normal course of operations and have been valued in these consolidated financial statements at the exchange amount, which is the amount of consideration established and agreed to by the related parties. Amounts due to or from related parties are non-interest bearing, unsecured and due on demand. Related party transactions not disclosed elsewhere in these consolidated financial statements are listed below.

(a) For the year ended May 31, 2021, the Company incurred salary and benefits expenses of $227,463 (2020 - $75,869), $262,000 (2020 - $77,000) in management fees, of which $225,000 was a success bonus, to the CEO of the Company and to a company controlled by the CEO of the Company. In addition, the Company incurred home office expenses of $22,500 (2020 - $nil) and lower than market rent expenses of $13,800 (2020 - $nil) regarding a condo owned by the CEO for one of the Company’s key staff to a company controlled by the CEO of the Company. Total paid was $525,763 (2020 - $152,869). As May 31, 2021, $15,074 (2020 - $15,074) was owed to the CEO of the Company which is included in due to related parties.

(b) For the year ended May 31, 2021, the Company incurred management fees of $475,000 (2020 - $107,000), which included a success bonus of $225,000 (2020 – $nil), and home office expenses of $21,000 (2020 - $nil) to a company controlled by the President of the Company. Total paid was $496,000 (2020 - $107,000). As at May 31, 2021, $3,150 (2020 - $nil) was owed to the President of the Company which is included in due to related parties.

(c) For the year ended May 31, 2021, the Company recorded salary and benefits expenses of $9,113 (2020 - $nil) to the Chief Financial Officer of the Company. As at May 31, 2021, $363 (2020 - $nil) was owed to the Chief Financial Officer of the Company which is included in due to related parties.

(d) For the year ended May 31, 2021, the Company incurred consulting fees of $126,775 (2020 - $35,000), which included a bonus of $18,775 (2020 - $nil) to a company controlled by the former Chief Financial Officer of the Company.

Classification of Liabilities as Current or Non-current (Amendments to IAS1)
On January 23, 2020, the IASB issued amendments to IAS 1 Presentation of Financial Statements, to clarify the classification of liabilities as current or non-current. On July 15, 2020, the IASB issued an amendment to defer the effective date by one year. The amendments removed the requirement for a right to defer settlement or roll over of a liability for at least twelve months to be unconditional to classify such liability as a non-current liability. Instead, such a right must have substance and exist at the end of the reporting period.
The amendments are effective for annual periods beginning on or after January 1, 2023. Early adoption is permitted.
Property, Plant and Equipment – Proceeds before Intended Use (Amendments of IAS 16)
On May 14, 2020, the IASB issued Property, Plant and Equipment - proceeds before intended use (Amendments to IAS 16). The amendments clarify that proceeds from selling items before the related item of Property, Plant and Equipment is available for use should be recognized in profit or loss, together with the cost of producing those items.
The amendments are effective for annual periods beginning on or after January 1, 2022. Early adoption is permitted.
Annual Improvements to IFRS Standards – 2018 to 2020
On May 14, 2020, the IASB issued Annual Improvements to IFRS Standards – 2018 to 2020 IFRS 9 Financial Instruments – Clarifies which fees are included for the purpose of performing the “10 percent test” for derecognition of financial liabilities.
IFRS 16 Leases – Removes the illustration of payments from the lessor relating to leasehold improvements. The amendments are effective for annual periods beginning on or after January 1, 22. Early adoption is permitted.
Interest Rate Benchmark Reform – Phase 2 (Amendments to IFRS 9, IAS 39, IFRS 7, IFRS 4 and IFRS 16)
On August 27, 2020, the IASB finalized its response to the ongoing reform of inter-bank offered rates and other interest rate benchmarks by issuing a package of amendments to IFRS Standards.

Risks Related to Competition
To remain competitive, the Company will require a continued high level of investment in research and development, marketing, sales, and client support. The Company may not have sufficient resources to maintain research and development, marketing, sales, and client support efforts on a competitive basis which could materially and adversely affect the business, financial condition, and results of operations of the Company.
The beverage industry is intensely competitive with respect to product, quality, convenience, and price. NEXE faces significant competition in each of its channels and marketplaces. NEXE competes with major international beverage and appliance companies that operate in multiple geographic areas, as well as numerous companies that are primarily local in operation. The Company’s ability to gain a share of sales in the global marketplace or in various local marketplaces or maintain or enhance its relationships with its partners and customers may be limited as a result of actions by competitors, including as a result of increased consolidation in the food and beverage industry and an increase in the number of competitive pod contract manufacturers.
Many of the Company’s competitors and potential competitors are larger and have greater name recognition, longer operating histories, larger marketing budgets and significantly greater resources than the Company does. With the introduction of new technologies and market entrants, the Company expects competition to continue to intensify in the future. The Company may in the future, experience rapid growth and development in a relatively short period of time by aggressively marketing its products and services. Risks Related to Conflicts of Interest
The Company’s directors and officers may serve as directors or officers, or may be associated with, other reporting companies, or have significant shareholdings in other public companies. To the extent that such other companies may participate in business or asset acquisitions, dispositions, or ventures in which the Company may participate, the directors and officers of the Company may have a conflict of interest in negotiating and concluding terms respecting a transaction. Going Concern Risks
The Financial Statements have been prepared on a going concern basis under which an entity is considered to be able to realize its assets and satisfy its liabilities in the ordinary course of business. The Company’s future operations are dependent upon the identification and successful completion of equity or debt financing and the achievement of profitable operations at an indeterminate time in the future. There can be no assurances that the Company will be successful in completing an equity or debt financing or, in achieving profitability.
The Financial Statements do not give effect to any adjustments relating to the carrying values and classification of assets and liabilities that would be necessary should the Company be unable to continue as a going concern.
Limited Operating History
NEXE was incorporated on April 27, 2015 and has limited operating history. The Company will be subject to all of the business risks and uncertainties associated with any new business enterprise, including the risk that it will not achieve its growth objectives. To the extent that such expenses do not result in revenue gains that are adequate to sustain and expand its business, the Company’s long-term viability may be materially and adversely affected. To date, NEXE has not generated limited revenues.
Negative Cash Flow from Operating Activities
NEXE has had negative cash flow from operating activities since inception. Significant capital investment will be required to achieve NEXE’s existing plans. There is no assurance that the Company’s business will generate earnings, operate profitably, or provide a return on investment in the near future. Accordingly, the Company may be required to obtain additional financing in order to meet its future cash commitments.

Commercialization of NEXE PODs
NEXE has commercialized Nespresso Compatible pods with Original Line Brewers subsequent to year end. Also, through a subsidiary, Xoma SuperFoods, Nexe has proven its compostable plant based form factor for soluble capsules compatible with Keurig brewing systems. Further, NEXE will soon commercialize its proprietary long filter compostable coffee capsule in Keurig brewing systems that not only achieves the highest grammage in the space but also maintaining the compostable requirements.
Future Performance is Highly Dependent upon the Sales of Keurig® and Nespresso® Beverage Systems
Continued acceptance and adoption of Keurig® and Nespresso ® beverage systems are significant factors in the Company’s growth plans. Any substantial or sustained decline in the sale of Keurig® and Nespresso ® hot system brewers, failure of consumers to adopt those beverage systems, would materially adversely affect the Company’s business.
The Research and Development of the Single-Serve Beverage Pods has Required and will Continue to Require a Significant Investment and Commitment of Resources, is Subject to Numerous Risks and Uncertainties, and Ultimately may not Prove Successful
NEXE has invested and expects to continue to invest in the research and development of its NEXE Pod technology. Such endeavour involves significant risks and uncertainties, including, insufficient revenues to offset liabilities and expenses associated with developing and launching the single-serve beverage pods, not accurately predicting consumer tastes and the market opportunity for a beverage platform, inability to respond in a timely manner to consumer desires and demands, and unidentified issues not discovered in NEXE due diligence and planning.
The Company cannot be certain that the Keurig® and Nespresso ® hot system brewers will be widely accepted by consumers or that they will be willing to pay a higher price for these products. In addition, the Company may not be able to sufficiently scale or find other ways to reduce the costs of manufacturing the pods. Because the introduction of and investment in a new pod is inherently risky, no assurance can be given that the NEXE Pods will ultimately be successful or that it will not materially adversely affect the Company’s reputation, financial condition, and operating results.

The Company’s success depends in part on its ability to maintain consumer confidence in the safety and quality of all of its products. Product safety or quality issues, or mislabeling, actual or perceived, or allegations of product contamination or quality or safety issues, even when false or unfounded, could subject the Company to product liability and consumer claims, negative publicity, a loss of consumer confidence and trust, may require the Company from time to time to conduct costly recalls from some or all of the channels in which the affected product was distributed, could damage the goodwill associated with its brands, and may cause consumers to choose other products. Such issues could result in the destruction of product inventory, lost sales due to the unavailability of product for a period of time, and higher than anticipated rates of warranty returns and other returns of goods, all of which could cause the Company’s business to suffer and affect its results of operations.
The Company’s Long Term Purchase Commitments for Certain Strategic Materials Critical for the Manufacture of Pods could Impair its Ability to be Flexible in its Business Without Penalty
In order to ensure a continuous supply of high-quality materials, some of the Company’s inventory purchase obligations may create long-term purchase commitments for certain strategic materials critical for the manufacture of pods. The timing of these may not always coincide with the period in which the Company needs the supplies to fulfill customer demand. The Company maintains insurance coverage including directors’ and officers’ insurance and commercial insurance covering the facility and the equipment within the facility. Nevertheless, given the novelty of development of biodegradable pods and associated businesses, such insurance may become unavailable, uneconomical for the Company, or the nature or level may be insufficient to provide adequate insurance cover. The occurrence of an event that is not covered or fully covered by insurance could have a material adverse effect on the Company. There is increasing concern that a gradual increase in global average temperatures due to increased concentration of carbon dioxide and other greenhouse gases in the atmosphere will cause significant changes in weather patterns around the globe and an increase in the frequency and severity of natural disasters. Decreased agricultural productivity in certain regions of the world as a result of changing weather patterns may limit availability or increase the cost of key agricultural commodities, such as coffee, which are important sources of ingredients for the Company’s business and products and could impact the food security of communities around the world. Increased frequency or duration of extreme weather conditions could also impair production capabilities, disrupt the Company’s supply chain, or impact demand for its products. As a result, the effects of climate change could have a long-term adverse impact on the business and results of operations.

CORPORATE GOVERNANCE
The Company’s board of directors and its committees adhere to recommended corporate governance guidelines for public companies listed on the TSXV to ensure transparency and accountability to shareholders. The current board of directors is comprised of five individuals, three of whom are independent of management as they are neither executive officers nor employees of the Company.
