Appointment of Mrs Kathleen Wantz-O'Rourke as censor

Paris, November 24, 2015 – The Nexans Board of Directors decided today to appoint Mrs. Kathleen Wantz-O'Rourke as censor with a view to proposing her candidature as member of the Board of Directors to the 2016 shareholders' general meeting. As censor, Mrs. Wantz-O'Rourke will attend Board of Directors meetings with a consultative role, and the Board will benefit immediately from her experience and expertise. The Internal Regulations of the Board will be applicable to her in all its provisions.

Kathleen Wantz-O'Rourke is the Director Action Plan & Performance Group in ENGIE since 2012. She previously held various positions in Siemens since 1984 in finance, business development and general management in large regional companies.

She also serves as a member of the Board of Storengy and of the Trust Management Institute (TMI), and as a member of the Supervisory Board of Companie Nationale du Rhône (CNR). She is also a member of the Audit Committee of Storengy and Compagnie Nationale du Rhône (CNR).
