DISCLOSEABLE TRANSACTION DISPOSAL OF THE ENTIRE ISSUED SHARE CAPITAL IN AND ASSIGNMENT OF THE SHAREHOLDER’S ADVANCE DUE FROM A DIRECT WHOLLY-OWNED SUBSIDIARY OF THE COMPANY

COMPLETION

Reference is made to the announcement of Newton Resources Ltd (the “ Company ”) dated 31 December 2019 (the “ Announcement ”) in relation to the Disposal. Unless the context otherwise requires, capitalised terms used herein shall have the same meanings as those defined in the Announcement.

The Board is pleased to announce that the Completion took place on 30 June 2020 in accordance with the terms and conditions of the Sale and Purchase Agreement. Upon Completion, the Company ceased to own any interests in the Disposal Group.
