CHANGE OF EXECUTIVE DIRECTOR
AND
APPOINTMENT OF CHIEF OPERATING OFFICER
The Board announces the following changes of the Company:
-
Ms. Yu Shuxian will retire as executive Director upon expiration of her employment term with effect from 1 March 2014 due to her desire to devote more time to her personal affairs; and
-
Mr. Li Changfa has been appointed as executive Director and the chief operating officer of the Company with effect from 1 March 2014.
The board (the “ Board ”) of directors (the “ Directors ”) of Newton Resources Ltd (the “ Company ” together with its subsidiaries, the “ Group ”) announces the following changes of the Company:
RETIREMENT OF EXECUTIVE DIRECTOR
Ms. Yu Shuxian (“ Ms. Yu ”) will retire as executive Director upon expiration of her employment term with effect from 1 March 2014 due to her desire to devote more time to her personal affairs.
Ms. Yu confirmed that she has no disagreement with the Board and there is no matter relating to her retirement that needs to be brought to the attention of the shareholders of the Company and The Stock Exchange of Hong Kong Limited.
The Board would like to thank Ms. Yu for her valuable contribution to the Group during her tenure of office.

APPOINTMENT OF EXECUTIVE DIRECTOR AND CHIEF OPERATING OFFICER
Mr. Li Changfa (“ Mr. Li ”) has been appointed as an executive Director and the chief operating officer of the Company with effect from 1 March 2014.
Mr. Li, aged 66, is currently the chairman of the board of directors and legal representative of Lincheng Xingye Mineral Resources Co., Ltd, subsidiary of the Company.
Mr. Li was professionally accredited economist by the Personnel Department of Henan Province (河南省人事廳) in 1992, and graduated from the China University of Petroleum with a major in business administration in 2006.
Mr. Li has over 20 years of experience in business operations, project management and mergers and acquisitions. From 1964 to 1992, he held various management positions in China ShenMa Group and numerous enterprises. From 1992 to 1999, he worked in the subsidiaries of the Ministry of Textile Industry and China General Chamber of Textile (中國 紡織工業部及中國紡織總會), and participated in mergers and acquisitions, restructuring, establishment and management of corporations. From 2002 to 2008, he held various positions, including director and vice president of China Printed Circuit Association, mainly responsible for its policy study and industry development advisory.
Mr. Li was appointed as the vice-chairman of the China Chamber of International Commerce Guangzhou Chamber of Commerce in 2004. From 2006 to 2011, he was appointed as a member of the Eighth Guangzhou Baiyun District Committee of the Chinese People’s Political Consultative Conference of the People’s Republic of China.
Save as disclosed above, in the three years preceding the date of his appointment, Mr. Li did not hold any position with the Company or other members of the Group or any directorship in other listed public companies or have any other major appointments.
Mr. Li has entered into a service contract with the Company on 28 February 2014 for a fixed term of three years commencing from 1 March 2014, subject to retirement by rotation and reelection at annual general meetings pursuant to the articles of association of the Company. In respect of his service to the Company as executive Director, Mr. Li is entitled to remuneration of RMB92,300 per month. Save for the above remuneration and discretionary bonus, he is not expected to receive any other remuneration for holding his office as an executive Director. Mr. Li’s annual emoluments as executive Director was determined by the Board based on the recommendation from the remuneration committee of the Company (the “Remuneration Committee”) with reference to the Company’s performance, his duties and responsibilities with the Company and prevailing market conditions. The director’s remuneration of Mr. Li will be subject to annual review by the Remuneration Committee and the Board.

As at the date of this announcement, Mr. Li does not have any interests in the shares of the Company within the meaning of Part XV of the Securities and Futures Ordinance. Save as disclosed above, Mr. Li does not have any relationship with any other Directors, senior management, substantial shareholders or controlling shareholders of the Company.
Mr. Li has not been involved in any of the matters as mentioned under Rules 13.51(2)(h) to 13.51(2)(v) of the Rules Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited and there are no other matters in relation to Mr. Li that need to be brought to the attention of the shareholders of the Company.
The Board would like to extend its warmest welcome to Mr. Li in joining the Board.
