New Sources Energy discloses annual report 2023

Today New Sources Energy N.V. ("NSE") discloses its preliminary financial statements for the financial year of 2023.

Key points of the financial year of 2023

For the first time in 7 years, NSE follows IFRS with her annual report 2023 that is presented today. NSE has implemented robust policies and procedures assuring compliance with Dutch and EU legislation, including the MAR, the Dutch Corporate Governance Code and soon the CSRD.
NSE engaged external auditor KPMG Accountants N.V. to audit the financial year 2024.
A total reorganisation of all NSE's operations including a clean-up of its financials was realised. In 2023, there were no operational activities and no acquisitions. All ties with its past activities and parties were ended. The reorganisation of NSE has taken a great deal of time, effort and dedication of its directors.
During 2023, NSE's shareholders' equity increased with € 286 thousand to € 92 thousand, after an error correction of the deferred tax asset of € 88 thousand. The company's working capital also grew with € 207 thousand to € 92 thousand.

Outlook 2024

NSE now has a clean slate to realise its new business plan as an investment company accelerating the energy transition.
For its operations NSE has chosen for an automation strategy that focuses on performing high value tasks and maximising business value of its investments. A future-proof ERP system has been selected which implementation in 2024 will ensure not only maximum operational efficiency and flexibility, but also optimal compliance in reporting.
From 2024 onwards, starting afresh, new management is actively pursuing business opportunities and has initiated exploratory talks with partners and companies focused exclusively on generating renewable energy or supporting a sustainable energy transition.

FINANCIAL SUMMARY

Since KPMG was appointed as NSE's external auditor for the financial year of 2024, the financial information for the financial year of 2023, as disclosed in the annual report 2023 and this release, has not been audited.

Operational status of the company and its 2 subsidiaries

NSE did not realise any business operations and did not make any investments during 2023. The two whollyowned subsidiaries of NSE, Energy Synergie B.V. and New Green Investments B.V., remained dormant and made no investments during 2023.

Financials

Equity

In 2023, 23.107.745 common shares were issued, making the total number of outstanding shares 82.858.811 at year-end. Despite the negative result in 2023, this share issuance increased the shareholders' equity with € 286 thousand, and its working capital with € 207 thousand, to € 92 thousand.

Financing

During 2023, NSE issued convertible bonds totalling € 150 thousand and converted them into common shares. In addition to the Mirckzon Holding B.V. loan, the CEO provided a loan of € 80 thousand to the company. At yearend these subordinated loans were fully converted into common shares and almost all of the outstanding 2022 and 2023 board fees were converted into common shares.

Profit & Loss Account

NSE and its subsidiaries did not generate any revenues during 2023. The total consolidated expenses for 2023 amounted to € 413 thousand, of which board renumeration expenses and stock exchange listing expenses accounted for the majority of the expenses.

For 2023, financial expenses amounted to € 5 thousand, namely interest expenses on the subordinated loans of both Mirckzon Holding B.V. and the CEO. The negative result after taxes for 2023 amounted to €418 thousand and was added to NSE's equity reserves. At the end of 2023, the total of recoverable losses had increased to € 1.614 thousand.

New Sources Energy publiceert haar jaarverslag 2023

New Sources Energy N.V. ("NSE") publiceert vandaag haar voorlopige cijfers over het boekjaar 2023.

Hoofdpunten van het boekjaar 2023

Voor het eerst in 7 jaar volgt NSE weer de IFRS in het jaarverslag 2023 dat vandaag wordt gepresenteerd. NSE heeft robuuste beleid en procedures geïmplementeerd om naleving van Nederlandse en EU-wetgeving te waarborgen, waaronder de MAR, de Corporate Governance Code en binnenkort de CSRD.
NSE heeft extern accountant KPMG Accountants N.V. benoemd voor de jaarrekeningcontrole van het boekjaar 2024.
Een totale reorganisatie van alle NSE-activiteiten inclusief een opschoning van de financiën werd gerealiseerd. In 2023 waren er geen operationele activiteiten en geen overnames. Alle banden met activiteiten en partijen uit het verleden zijn beëindigd. De reorganisatie van NSE heeft veel tijd, inspanning en toewijding van haar bestuurders gekost.
Gedurende 2023 steeg het eigen vermogen van NSE met € 286 duizend naar € 92 duizend, na een foutcorrectie van de latente belastingvordering ter waarde van € 88 duizend. Het werkkapitaal groeide met € 207 duizend tot € 92 duizend.

Vooruitzichten 2024

NSE heeft nu een schone lei om haar nieuwe businessplan te realiseren als investeringsmaatschappij die de energietransitie aanjaagt.
Voor haar bedrijfsvoering heeft NSE gekozen voor een automatiseringsstrategie die zich richt op het uitvoeren van hoogwaardige taken en het maximaliseren van de bedrijfswaarde van haar investeringen. Er is gekozen voor een toekomstbestendig ERP-systeem dat bij implementatie in 2024 niet alleen zorgt voor maximale operationele efficiëntie en flexibiliteit, maar ook voor optimale compliance in de rapportages.
Vanaf begin 2024 is het nieuwe ambitieuze management met een frisse start actief aan de slag gegaan op zoek naar zakelijke kansen. Inmiddels zijn verkennende gesprekken gestart met partners en bedrijven die zich uitsluitend richten op het opwekken van duurzame energie dan wel het ondersteunen van de duurzame energietransitie.

FINANCIËLE SAMENVATTING

Aangezien KPMG is aangesteld als extern accountant van NSE voor het boekjaar 2024, is de financiële informatie over het boekjaar 2023, zoals vermeld in het jaarverslag 2023 en dit bericht, niet gecontroleerd.

Operationele status van de vennootschap en haar 2 dochterondernemingen

NSE heeft in 2023 geen bedrijfsactiviteiten gerealiseerd en geen investeringen gedaan. De twee volledige dochterondernemingen van NSE, Energy Synergie B.V. en New Green Investments B.V., bleven inactief en deden geen investeringen gedurende 2023.

Financiële gegevens

Eigen vermogen

In 2023 werden 23.107.745 gewone aandelen uitgegeven, waardoor het totaal aantal gewone uitstaande gewone aandelen op jaareinde 82.858.811 bedroeg. Ondanks het negatieve resultaat in 2023, verhoogde deze aandelenuitgifte het groepsvermogen met € 286 duizend, en het werkkapitaal met € 207 duizend, tot € 92 duizend.

Financiering

In 2023 gaf NSE converteerbare obligaties uit voor een totaalbedrag van € 150 duizend welke zijn geconverteerd in gewone aandelen. Naast de lening van Mirckzon Holding B.V., stelde de CEO een lening van € 80 duizend ter beschikking aan het bedrijf. Aan het einde van het jaar werden deze achtergestelde leningen volledig geconverteerd in gewone aandelen. Daarnaast zijn zo goed als alle bestuursvergoedingen voor 2022 en 2023 geconverteerd in gewone aandelen.

Winst -en verliesrekening

NSE en haar dochterondernemingen hebben in 2023 geen inkomsten gegenereerd. De totale geconsolideerde kosten voor 2023 bedroegen € 413 duizend, waarvan de bestuursvergoedingen en de beursnoteringskosten het grootste deel van de kosten in 2023 uitmaakten.

Voor 2023 bedroegen de financiële lasten € 5 duizend, zijnde de rentelasten op de achtergestelde leningen van Mirckzon Holding B.V. en de CEO. Het negatieve resultaat na belastingen voor 2023 bedroeg € 418 duizend en werd toegevoegd aan de reserves van het eigen vermogen van NSE. Aan het einde van 2023 was het totaal van de compensabele verliezen toegenomen tot € 1.614 duizend.
