Item 8.01 Other Events.

On July 26, 2019, the Board of Directors of Network-1 Technologies, Inc. (the "Company") announced that its Board of Directors has declared a semi-annual cash dividend of $0.05 per common share. The semi-annual cash dividend of $0.05 per share is payable on September 20, 2019 to all common stockholders of record as of September 4, 2019. A copy of the press release is attached hereto as Exhibit 99.1.
