Item 2.02 Results of Operations and Financial Condition.

On August 13, 2018, Network-1 Technologies, Inc. (the "Company") issued a press release announcing its financial results for the quarter ended June 30, 2018. A copy of the press release is attached hereto as Exhibit 99.1.

Item 8.01 Other Events

In connection with the Company's patent infringement litigation against Facebook, Inc. in the United States District Court for the Southern District of New York for infringement of certain patents within the Company's Mirror Worlds patent portfolio, on August 11, 2018, the District Court granted Facebook's motion for summary judgment on non-infringement. The Company strongly disagrees with the Court's decision and is evaluating its alternatives including an appeal to the United States District Court of Appeals for the Federal Circuit.
