Sub: Disclosure under Regulation 30 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 – Arbitration Proceedings

Pursuant to Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 (“SEBI LODR”), read with Para B – 8.1 of Part A of Schedule III and Annexure 18 of the SEBI Master Circular dated November 11, 2024, the Company hereby informs the Stock Exchange as under:

1. Brief details of the litigation / arbitration (Para 8.1(a))

Messe Frankfurt Trade Fairs India Private Limited (“Petitioner”) has initiated proceedings by way of a Commercial Arbitration Petition under Section 9 of the Arbitration and Conciliation Act, 1996 before the Hon’ble High Court of Judicature at Bombay (Commercial Division) against Netlink Solutions India Limited, one of its Directors, and certain other parties.

The Petition pertains to disputes arising out of an Asset Purchase Agreement dated September 24, 2018, and an amendment thereto dated September 1, 2021, executed in connection with the sale of a business division by the Company in the past. The Petitioner has sought interim reliefs pending arbitration.

2. Expected financial implications, if any (Para 8.1(b))

The Company has been advised that the claims are contested and no provision has been made in the books of account. Any financial impact will depend on the final outcome of the proceedings.

The Company does not expect any material adverse impact on its operations or financial position at this stage.

3. Other relevant information (Para 8.1(c))

• The transaction forming the subject matter of the dispute was completed in earlier years, and final closing formalities were concluded during the previous financial year.

• The Company believes that it has adequate legal grounds to contest the claims raised in the Petition.

• The Company is taking appropriate steps in accordance with law and will defend the matter without prejudice to its rights and contentions.

• Further disclosures shall be made as and when required, in accordance with the SEBI LODR Regulations.
