1. To appoint a Director in place of Mr. Minesh Modi (DIN 00378378) who retires by rotation and being eligible, offers himself for re-appointment. His brief profile is enclosed as Annexure A .

2. Re-Appointment of Mr. Minesh Modi as a Whole Time Director of the Company. His brief profile is enclosed as Annexure A .

3. Re-Appointment of Mrs. Rupa Modi as a Whole Time Director designated as an Executive Director & Chief Financial Officer of the Company. Her brief profile is enclosed as Annexure B.

The details as required under the SEBI Listing Regulations read with SEBI Circular No. CIR/CFD/CMD/4/ 2015 dated September 9, 2015 is given in Annexure A & Annexure B to this letter.
