Exercise of Options by BGF Investments LP and Total Voting Rights

Further to the announcement dated 9 November 2021, Netcall plc (AIM: NET), a leading customer engagement software provider, announces that it has received notice from BGF Investments LP exercising its options over 4,827,586 ordinary shares in the capital of Netcall, at a price of 58 pence per share (the "Options").  The Options were issued in August 2017 in connection with the issue of a loan note to finance the acquisition of the entire issued share capital of MatsSoft Limited, a low-code software provider.

Accordingly, Netcall has issued and allotted 4,827,586 new ordinary shares of 5 pence each ("Ordinary Shares") following the exercise of the Options.  The proceeds from the exercise of the Options totals £2.8 million and are intended to be used to part repay the outstanding £3.5 million loan notes held by BGF Nominees Limited (part of BGF Group Plc).

Application has been made to the London Stock Exchange for the 4,827,586 new Ordinary Shares to be admitted to trading on AIM ("Admission") and it is expected that Admission will become effective and trading will commence at 8.00 a.m. on 4 October 2022.

The Company advises that, following Admission, the Company's issued share capital will be 156,715,556 Ordinary Shares which includes 1,869,181 Ordinary Shares which are held in treasury. As such the Company's total number of Ordinary Shares with voting rights is 154,846,375.

The above figure of 154,846,375 may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure and Transparency Rules.
