The Reporting Persons are married and each Reporting Person independently indirectly owns approximately 34.2% of 8 Rivers. Accordingly, each Reporting Person may be deemed the indirect beneficial owner of the securities owned by NPEH to the extent of his or her pecuniary interest therein.
