NOTICE OF POSTAL BALLOT/ E-VOTING

Members are hereby informed that pursuant to Section 11 O read with Section 108 of the Companies Act, 2013 ("Companies Act"), Rule 22 and 20 of the Companies (Management and Administration) Rules, 2014, Regulation 44 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 and Secretarial Standards on General Meetings, Nestle India Limited ("the Company") has completed the dispatch of Postal Ballot Notice dated 14• May, 2019 alongwith Postal Ballot Form and self-addressed Business Reply Envelope on 31 s, May, 2019, to the Members whose names appear on the Register of Members I List of Beneficial Owners as on 24" May, 2019 (Cut-off date). For those Members, whose email addresses are registered with their Depository Participants I the Company as on the Cut-off date, the Postal Ballot Notice alongwith Postal Ballot Form has been sent in electronic form. The Company is providing e-voting facility to all its Members, to enable them to cast their votes electronically instead of dispatching the physical Postal Ballot Form by post to the Scrutinizer.

Members are informed that:

• (a) the Special Business pertaining to the re-appointment of Mr. Shobinder Duggal (DIN 00039580) as a Whole-time Director of the Company, designated as "Executive Director-Finance & Control and Chief Financial Officer" for a period effective from 10'" May, 2019 until 31 s1 December, 2019 and the terms and conditions of re-appointment and remuneration payable to Mr. Duggal, as set-out in the Postal Ballot Notice is to be transacted by postal ballot which includes voting by electronic means;
• (b) the voting period commences on 3" June, 2019 (9:00 a.m.);
• (c) the voting period ends on 2"" July, 2019 (5:00 p.m.);
• (d) any Postal Ballot received from the Members beyond 2"" July, 2019 (5:00 p.m.) will not be valid and voting by post or by electronic means shall not be allowed beyond the said date;
• (e) member(s) who have not received Postal Ballot Form may write to the Company at the Registered Office or send an email to investor@in.nestle.com and obtain a duplicate thereof; and
• (f) for any query or grievance connected with Postal Ballot including voting by electronic means, Members may write to the Company Secretary at the Registered Office of the Company or at email: investor@in.nestle.com or contact at telephone no. 011-23418891.
