Description	NESTCON BERHAD ("NESTCON" OR "THE COMPANY") - PROVISION OF FINANCIAL ASSISTANCE PURSUANT TO RULE 8.25(1)(iii) OF ACE MARKET LISTING REQUIREMENTS OF BURSA MALAYSIA SECURITIES BERHAD
Pursuant to Rule 8.25(1)(iii) of the ACE Market Listing Requirements of Bursa Malaysia Securities Berhad, the Company wishes to announce the financial assistance provided in the form of advances and corporate guarantees to its subsidiary companies as of 31 March 2026, as follows:- (a) the Company provided a total advance of RM1,522,851.00 to Nestcon Sustainable Solutions Sdn. Bhd., a 51%-owned subsidiary of the Company. (b) the Company provided a total advance of RM4,905,000.00 to Nestcon Solar Sdn. Bhd., a wholly-owned subsidiary of Nestcon Sustainable Solutions Sdn. Bhd. (c) the Company provided a total advance of RM400,000.00 to N2 Solar Sdn. Bhd., a wholly-owned subsidiary of Nestcon Sustainable Solutions Sdn. Bhd. (d) the Company provided a total advance of RM210,000.00 to Nestcon PJS Sdn. Bhd., a 70%-owned subsidiary of Nestcon Property Sdn. Bhd. (e) the Company provided a total advance of RM4,550,000.00 to Nestcon Iskandar Puteri Sdn. Bhd., a 70%-owned subsidiary of Nestcon Property Sdn. Bhd. (f) the Company provided a corporate guarantee in favour of Hong Leong Bank Berhad for the banking facilities of RM12,000,000.00 granted to Nestcon Solar Sdn. Bhd. (g) the Company provided a corporate guarantee in favour of Bank of China (Malaysia) Berhad for the banking facilities of RM10,000,000.00 granted to Nestcon Solar Sdn. Bhd. (h) the Company provided a corporate guarantee in favour of OCBC Bank (Malaysia) Berhad for the banking facilities of RM5,000,000.00 granted to Nestcon Solar Sdn. Bhd. (i) the Company provided a corporate guarantee in favour of OCBC Bank (Malaysia) Berhad for the term loan of RM20,000,000.00 granted to Nestcon Sustainable Solutions Sdn. Bhd. (j) the Company provided a corporate guarantee in favour of Pac Lease Berhad for the hire purchase of RM5,710,030.46 granted to N2 Solar Sdn. Bhd. (k) the Company provided a corporate guarantee in favour of United Overseas Bank (Malaysia) Bhd. for the banking facilities of RM29,552,000.00 granted to Nestcon Floatovoltaics Sdn. Bhd. (l) the Company provided a corporate guarantee in favour of Hong Leong Bank Berhad for the term loan of RM2,700,000.00 granted to Nestcon PJS Sdn. Bhd. (Collectively, referred to as "the Financial Assistance"). The Financial Assistance provided was to facilitate the operations and financial affairs of Nestcon Sustainable Solutions Sdn. Bhd., Nestcon Solar Sdn. Bhd., N2 Solar Sdn. Bhd., Nestcon PJS Sdn. Bhd., Nestcon Iskandar Puteri Sdn. Bhd. and Nestcon Floatovoltaics Sdn. Bhd.. The Financial Assistance provided does not have any material effect on the earnings per share, net assets per share, and gearing of the Company and its subsidiaries.
