of the Companies Act, 2013 (“Act”) and Rules made thereunder, Securities and Exchange Board of India (Listing
Obligations and Disclosure Requirements) Regulations, 2015 (“SEBI Listing Regulations”), Secretarial Standard on
General Meetings issued by the Institute of Company Secretaries of India (“SS-2”) read with the guidelines prescribed by
the Ministry of Corporate Affairs (“MCA”) for holding general meetings/ conducting postal ballot process through e-voting

Pursuant to the Circulars, the Company has completed dispatch of the Postal Ballot Notice, by electronic means only to
those Members whose names appeared in the Register of Members/ List of Benefcial Owners and whose e-mail IDs are
registered with the Company/ Link Intime India Private Limited (“RTA”)/ Depositories as on Friday, February 9, 2024 (“cut-off
date”). The same is also available on the website of the Company i.e. www.hindalco.com,the website of stock exchanges
www.bseindia.com& www.nseindia.comand the Company’s RTAi.e. at https://instavote.linkintime.co.in.
The Company has engaged the services of RTA, for the purpose of providing remote e-voting facility to its Members. The
detailed procedure for casting of votes through remote e-voting has been provided in the notice.
The remote e-voting shall commence on Tuesday, February 20, 2024 from, 09:00 a.m. (IST) and ends on Wednesday,
March 20, 2024, 05:00 p.m. (IST). During this period Members holding shares either in physical or electronic form as
on cut-off date shall cast their votes electronically. Members are requested to accord their ASSENT (FOR) or DISSENT
(AGAINST) through the remote e-voting process not later than Wednesday March 20, 2024, 05:00 p.m. (IST). The voting
rights of the Members shall be in proportion to their share of paid up equity share capital of the Company as on cut-off
date. Once the vote on resolution is cast by Member, the Member shall not be able to change it subsequently.
Members who have not updated their e-mail addresses are requested to register the same in respect of the shares
held by them in electronic form with the depository through their Depository participant and in respect of shares held in
physical form by writing to Company’s registrar and Share Transfer Agent i.e. Link Intime India Private Limited either
by email [email protected] or by post at 247 Park, Lal Bahadur Shastri Marg, Surya Nagar, Gandhi Nagar,
Vikhroli West, Mumbai, Maharashtra 400083.

conducting the Postal Ballot only through remote e-voting process in a fair and transparent manner.

2024 i.e. the last date of remote e-voting process. The Results of voting through Postal Ballot (through remote e voting
process) along with Scrutinizer’s Report will be announced on or before Friday, March 22, 2024. The same will be
