OPENING OF THE THIRD AND FINAL PERIOD TO EXERCISE THE "WARRANT

NEOSPERIENCE S.p.A. 2019-2021"

Milan, 8 November 2021 – The innovative SME Neosperience S.p.A. (ISIN IT0005351496) ("NEOSPERIENCE" or "NSP"), one of the most relevant players in the Digital Customer Experience sector, listed on Euronext Growth Milan since 20 February 2019, announces that from 15 November 2021 the third and final subscription period of the "Warrant Neosperience S.p.A. 2019-2021", ISIN code no. IT0005351488 (the "Warrant").

The bearers of the Warrants may request the exercise of the Warrants from 15 November 2021 until 30 November 2021, including the initial and final terms (the "Third Exercise Period"), for each open market day, with the right to subscribe for newly issued Neosperience S.p.A. ordinary shares, with the same characteristics as the Neosperience S.p.A. ordinary shares in circulation on the date of issue and traded on Euronext Growth Milan (the "Compendium Shares"), at the rate of 1 (one) Compendium Share every 1 (one) Warrant exercised.

The right to exercise the Warrants must be exercised, under penalty of forfeiture, by submitting the request by 30 November 2021 (the "Deadline"). Warrants not exercised within the Expiration Deadline will lapse from any right becoming invalid for all purposes.

The exercise price of the Warrants relating to the Third Exercise Period is equal to Euro 4.57 (Euro four/fifty-seven) for each Compendium Share and must be paid in full at the time of submission of the exercise request.

To date, 943,948 warrants are still in circulation, out of a total issued in February 2019 of 1,206,500.

Subscription requests must be submitted to the intermediary participating in the centralised administration system of Monte Titoli S.p.A. at which the Warrants are deposited, without incurring any additional costs. The issuance, through Monte Titoli S.p.A., of the Compendium Shares subscribed by the bearers of the Warrants, will take place on the day following the end of the last day of the relevant Exercise Period.
