Item 2.02. Results of Operations and Financial Condition.

On May 14, 2012, Neonode Inc. (the “Company”) reported its earnings for its first fiscal quarter ended March 31, 2012. A copy of the Company’s press release containing this information is furnished as Exhibit 99.1 to this report on Form 8-K and is incorporated herein by reference.
