Esercizio Warrant Neodecortech 2018-2021 nel mese di novembre 2021 Comunicazione di variazione del capitale sociale Comunicazione termine ultimo di esercizio Warrant Neodecortech 2018-2021

Neodecortech S.p.A. ("NDT" o la "Società"), tra i principali operatori europei nella produzione di carte decorative per pannelli nobilitati e del flooring utilizzati nel settore dell'interior design, quotata nel segmento Euronext STAR Milan ("STAR"), organizzato e gestito da Borsa Italiana S.p.A., rende noto che, aisensi e per gli effetti di cui all'articolo 2 del Regolamento dei "Warrant Neodecortech 2018-2021" (il "Regolamento Warrant Neodecortech 2018-2021") durante il mese di novembre 2021, alla data del 30 novembre 2021, sono stati esercitati n. 271.088 Warrant e conseguentemente sottoscritte al prezzo disottoscrizione pari ad Euro 4,00 per azione (nel rapporto di esercizio pari a 1 Azione di compendio ogni 4 Warrant presentati per l'esercizio), n. 67.772 azioni Neodecortech S.p.A. di nuova emissione. Tali azioni sono prive di indicazione del valore nominale, hanno godimento pari a quello delle azioni ordinarie Neodecortech S.p.A. in circolazione alla data di emissione, ed hanno un controvalore complessivo pari ad Euro 271.088,00 di cui Euro 135.544,00 saranno imputati a capitale mentre per la restante parte saranno imputati a riserva sovrapprezzo.
In conseguenza di quanto sopra, alla data del 30 novembre 2021 risultano ancora in circolazione n. 12.733.520 Warrant che potranno essere esercitati fino al 27 dicembre 2021, come previsto dal Regolamento Neodecortech 2018-2021.
Le Azioni di Compendio sottoscritte dai titolari dei Warrant alla data del 30 novembre 2021 sono messe a disposizione per la negoziazione, per il tramite di Monte Titoli S.p.A., il giorno di liquidazione successivo al termine del mese di esercizio, ossia dal 1 dicembre 2021.
Per effetto di quanto precede, il nuovo capitale sociale di Neodecortech S.p.A. è pari ad Euro 17.570.677,37 (diciassettemilionicinquecentosettantaseicentosettantasette/37) ed è suddiviso in n. 13.601.255 (tredicimilioniseicentounoduecentocinquantacinque) azioni ordinarie prive di valore nominale. Si riporta di seguito la nuova composizione del capitale sociale di Neodecortech S.p.A. (interamente sottoscritto e versato), dopo l'attestazione di avvenuta variazione depositata presso il Registro delle Imprese di Bergamo in data odierna unitamente allo statuto aggiornato.

Lo Statuto sociale, aggiornato con il nuovo capitale sociale depositato in data odierna per l'iscrizione presso il Registro delle Imprese, sarà messo a disposizione del pubblico presso la sede sociale, sul sito internet della Società nonché sul meccanismo di stoccaggio autorizzato nei termini di legge.
I portatori dei Warrant potranno esercitarli, a pena di decadenza entro il termine ultimo di esercizio del 27 dicembre 2021. I Warrant che non fossero presentati per l'esercizio entro il termine ultimo del 27 dicembre 2021 decadranno da ogni diritto, divenendo privi di validità ad ogni effetto.

Exercise of "Warrant Neodecortech 2018-2021" in November 2021 Notice of change in share capital Notice of final exercise period for Warrant Neodecortech 2018-2021

Neodecortech S.p.A. ("NDT" or the "Company"), one of Europe's top players in the production of decorative papers for laminated panels and flooring used in interior design, listed on the Euronext STAR Milan ("STAR") segment, organized and managed by Borsa Italiana S.p.A, announces that, pursuant to and for the purposes of Article 2 of the "Warrant Neodecortech 2018-2021" Regulation (the "Warrant Neodecortech 2018-2021 Regulation") in November 2021, as at 30 October 2021, no. 271,088 Warrants had been exercised, therefore no. 67,772 newly-issued Neodecortech S.p.A. shares had been subscribed, at the subscription price of € 4.00 per share (at the ratio of 1 Conversion Share for every 4 Warrants submitted for exercise). These shares have no par value, have the same divided entitlements as the ordinary shares of Neodecortech S.p.A. outstanding at the issue date, and have a total value of € 271,088.00, of which € 135,544.00 will be allocated to the share capital, while the remainder will be allocated to the share premium reserve.
As a result of the above, there are no. 12,733,520 Warrants still outstanding as at 30 November 2021 that may be exercised until 27 December 2021, as envisaged in the Neodecortech 2018-2021 Regulation.
The Conversion Shares subscribed by the Warrant holders on 30 November 2021 have been made available for trading, through Monte Titoli S.p.A., on the settlement day following the end of the exercise month, i.e. on 1 December 2021.
As a result of the above, the new share capital of Neodecortech S.p.A. amounts to € 17,570,677.37 (seventeen million five hundred and seventy thousand six hundred and seventy-seven/37) and is divided into no. 13,601,255 (thirteen million six hundred and one thousand two hundred and fifty-five) ordinary shares with no par value. The following isthe new composition of the share capital of Neodecortech S.p.A. (fully subscribed and paid up), following certification of the change filed with the Bergamo Company Register on today's date together with the updated Bylaws.

The Bylaws, updated with the new share capital filed today for entry in the Company Register, will be made publicly available at the Company's registered office, on the Company website, as well as on the authorized storage mechanism within the time limits of law.
Warrant holders may exercise their Warrants, on penalty of forfeiture, by the final exercise period of 27 December 2021. Warrants that have not been submitted for exercise by the final deadline of December 27, 2021 shall be forfeited and become invalid for all purposes.
