Neodecortech — Major Shareholding Notification 2020

➢ Notice pursuant to Article 17 of the AIM Italia Issuer Regulation.

Neodecortech S.p.A. ("NDT" or the "Company"), one of Europe's top players in the production of decorative papers for laminated panels and flooring for interior design, listed on AIM Italia, a multilateral trading system organized and managed by Borsa Italiana S.p.A., announces it has received a notice today from the shareholder Finanziaria Valentini S.p.A. on the change in its shareholder base following the demise of Luigi Valentini.

At the date of this press release, ownership of the shares of Finanziaria Valentini S.p.A. is divided equally between three trusts governed by English law (the Eclipse Trust, the Venus Trust and the Mercury Trust). Adriana Zannoni holds the usufruct right (and the related administrative and voting rights) on a number of shares representing 5% of the share capital of Finanziaria Valentini S.p.A., allocated proportionately over the ownership held by the three trusts.

As a result, following the death of Luigi Valentini, at the date of this notice, no subject exercises control over Finanziaria Valentini S.p.A..

Accordingly, control over Neodecortech S.p.A. is directly attributable to Finanziaria Valentini S.p.A., which holds 63.55% of the share capital.

It should be noted that Luigi Valentini passed away on 19 April 2020.
