Neodecortech S.p.A.: closing of the acquisition of Lamitex S.p.A., an Italian company that produces and creates innovative decorative laminates for the furniture sector.

Neodecortech S.p.A., one of Europe's top players in the production of decorative surfaces for laminated panels and flooring used in interior design, listed on the Euronext STAR Milan Segment organised and managed by Borsa Italiana S.p.A., following the announcement made on 26 November 2025, it is hereby announced that today the acquisition of 100% of the share capital of Lamitex S.p.A., an Italian company that produces and creates innovative decorative laminates for the furniture and interior design sector, with a strong focus on aesthetic quality and sustainability, has been completed.

Pursuant to the sale and purchase agreement, the Company assigned 189,247 NDT treasury shares to the sellers, equivalent to a total of 1.33% (subject to a 12-month lock – up period, at market terms and condition), for a unit value of Euro 4.65 each, and paid Euro 3.5 million to the sellers through the use of available resources, for a total amount of Euro 4.38 million.
