Neodecortech S.p.A. announces the acquisition of Lamitex S.p.A., an Italian company that produces and creates innovative decorative laminates for the furniture sector.

Total acquisition price of €8.38 million, paid partly in cash and partly in treasury shares at a unit value of €4.65

Neodecortech S.p.A., one of Europe's top players in the production of decorative surfaces for laminated panels and flooring used in interior design, listed on the Euronext STAR Milan Segment organised and managed by Borsa Italiana S.p.A., announces that on 25 November 2025 it signed a binding agreement for the purchase of 100% of the share capital of Lamitex S.p.A., an Italian company that produces and creates innovative decorative laminates for the furniture and interior architecture sector, with a strong focus on aesthetic quality and sustainability.

In the 2024 financial year, Lamitex achieved a turnover of Euro 12.8 million with an EBITDA of Euro 1.8 million. Shareholders' equity as of December 31, 2024 amounted to Euro 3.2 million and the Net Financial Position amounted to Euro -4.2 million.

The total purchase price, which is not subject to adjustment mechanisms, is equal to Euro 8.38 million, which will be paid for 7.5 million in cash and for the remaining Euro 0.88 million through the transfer of 189,247 treasury shares of NDT at a unit price of Euro 4.65 each.

At the closing date, the treasury shares indicated will be transferred in full and, using available resources, a total amount of Euro 3.5 million will be paid in cash. The remaining portion of the consideration, equal to Euro 4.0 million, will be paid in two equal tranches respectively 6 months and 12 months after closing. By the date of the last payment, in order to protect the usual guarantees provided for these types of transactions,

a special escrow agreement will be signed for the benefit of Neodecortech in relation to part of the cash consideration.

Within the Neodecortech Group, Lamitex will remain a separate legal entity.

The finalization of the transaction was supported, on the Neodecortech side, by the national teams of Deloitte Legal (for legal aspects) and Deloitte Financial Advisory (for financial aspects), while on the Lamitex shareholders' side by the Colla di Piazza law firm.
