Approval of the Report on Corporate Governance and Ownership Structure and the Report on the Remuneration Policy and on Compensation Paid

Neodecortech S.p.A. ("NDT" or the "Company"), one of Europe's top players in the production of decorative surfaces for laminated panels and flooring used in interior design, listed on the Euronext Milan market, organized and managed by Borsa Italiana S.p.A. - STAR Segment, announces that the Board of Directors met today and approved, inter alia:

• the report on corporate governance and ownership structure pursuant to Article 123-bis of Legislative Decree 58/1998 (the "TUF"); and
• the report on the remuneration policy and on compensation paid pursuant to Article 123-ter of the TUF;

These documents will be made publicly available in the manner and within the time limits of applicable laws and regulations.

Lastly, it should be noted that the Board acknowledged that the Board of Statutory Auditors verified that the Chairman of the Board of Statutory Auditors, Edda Delon, and the Standing Auditors Stefano Santucci and Federica Menichetti, met the independence requirements.
