Esercizio Warrant Neodecortech 2018-2021 nel mese di dicembre 2021 e scadenza periodo di esercizio

Neodecortech S.p.A. ("NDT" o la "Società"), tra i principali operatori europei nella produzione di carte decorative per pannelli nobilitati e del flooring utilizzati nel settore dell'interior design, quotata nel segmento Euronext STAR Milan ("STAR"), organizzato e gestito da Borsa Italiana S.p.A., rende noto che, aisensi e per gli effetti di cui all'articolo 2 del Regolamento dei "Warrant Neodecortech 2018-2021" (il "Regolamento Warrant Neodecortech 2018-2021") durante il mese di dicembre 2021, alla data del 27 dicembre 2021, sono stati esercitati n. 2.467.064 Warrant e conseguentemente sottoscritte al prezzo disottoscrizione pari ad Euro 4,00 per azione (nel rapporto di esercizio pari a 1 Azione di compendio ogni 4 Warrant presentati per l'esercizio), n. 616.766 azioni Neodecortech S.p.A. di nuova emissione. Tali azioni sono prive di indicazione del valore nominale, hanno godimento pari a quello delle azioni ordinarie Neodecortech S.p.A. in circolazione alla data di emissione, ed hanno un controvalore complessivo pari ad Euro 2.467.064,00 di cui Euro 1.233.532,00 saranno imputati a capitale mentre per la restante parte saranno imputati a riserva sovrapprezzo.
Le Azioni di Compendio sottoscritte dai titolari dei Warrant alla data del 27 dicembre 2021 sono disponibili per la negoziazione, per il tramite di Monte Titoli S.p.A., dalla data odierna.
La Società provvederà a pubblicare il comunicato di variazione del capitale sociale ad avvenuto deposito della stessa presso il Registro delle Imprese di Bergamo, nonché ad aggiornare lo statuto con il nuovo capitale sociale, nei termini di legge.
In data 27 dicembre 2021 è giunto a scadenza il termine ultimo di esercizio dei Warrant. Pertanto, i Warrant che non fossero stati presentati per l'esercizio entro detto termine ultimo si intendono decaduti da ogni diritto, e conseguentemente privi di validità ad ogni effetto.

Exercise of "Warrant Neodecortech 2018-2021" in December 2021 and expiry of exercise period

Neodecortech S.p.A. ("NDT" or the "Company"), one of Europe's top players in the production of decorative papers for laminated panels and flooring used in interior design, listed on the Euronext STAR Milan ("STAR") segment, organized and managed by Borsa Italiana S.p.A, announces that, pursuant to and for the purposes of Article 2 of the "Warrant Neodecortech 2018-2021" Regulation (the "Warrant Neodecortech 2018-2021 Regulation") in December 2021, as at 27 December 2021, no. 2,467,064 Warrants had been exercised, therefore no. 616,766 newly-issued Neodecortech S.p.A. shares had been subscribed, at the subscription price of € 4.00 per share (at the ratio of 1 Conversion Share for every 4 Warrants submitted for exercise). Such shares have no indication of their par value, they have dividend entitlement as those of the Neodecortech S.p.A. ordinary shares outstanding on the issue date, for a total value of € 2,467,064.00, of which € 1,233,532.00 will be allocated to the share capital and the remainder will be allocated to the share premium reserve.
The Conversion Shares subscribed by the Warrant holders up to 27 December 2021 will be made available for trading, through Monte Titoli S.p.A., starting from today.
The Company will publish the notice of change in the share capital once it has been filed with the Bergamo Company Register, as well as the updated Bylaws within the time limits of law.
The final term for exercising the Warrants expired on 27 December 2021. Therefore, any Warrants that have not been presented for exercise by the said deadline are deemed to have forfeited all rights, and consequently are invalid for all purposes.
