➢ CONSOB approval and publication of the Prospectus for the admission to trading on the MTA, possibly STAR Segment, of Neodecortech S.p.A. ordinary shares and warrants

Neodecortech S.p.A. ("NDT" or the "Company"), one of Europe's top players in the production of decorative papers for laminated panels and flooring used in interior design, listed on AIM Italia, a multilateral trading system organized and managed by Borsa Italiana S.p.A. ("Borsa Italiana"), announces that on today's date the National Commission for Companies and the Stock Exchange ("CONSOB"), through note of 21 May 2020, protocol no. 0478547/20, approved the Prospectus (the "Prospectus") for the admission to trading of the Company's ordinary shares and of the "Warrant Neodecortech 2018-2021" (the "Financial Instruments") on the Mercato Telematico Azionario organized and managed by Borsa Italiana S.p.A. ("MTA", electronic stock market), if the conditions are met, on the STAR Segment.

The Prospectus was filed with CONSOB today and published in accordance with the manners and time limits of law on the Company's website www.neodecortech.it, Investors, Investor Relations, Translisting MTA section, and is publicly available at its registered office in Via Provinciale 2, Filago (BG).

The starting date of trading of the Company's Financial Instruments on the MTA, if the conditions are met, on the STAR Segment, and the concurrent delisting from AIM Italia will be established by Borsa Italiana S.p.A. through an appropriate notice.

*** The Prospectus shows that, following preliminary analyses and assessments of the possible effects of the COVID-19-related crisis, on 27 April 2020 the Company updated the outlook for 2020 (the "Updated 2020 Budget") taking account of the results of first quarter 2020, closure of the plants in March-April 2020 and the presumable developments in demand for the

Group during the remaining part of 2020. The Updated 2020 Budget includes two sensitivity analyses with the application, respectively, of a reduction in gross revenue versus the base scenario; in the first assumption (10% reduction in gross revenue versus the base scenario), the net result shows a loss for 2020 of € 308 thousand, while in the second (a 20% reduction in gross revenue versus the base scenario), a loss of € 2,310 thousand. The net result for 2019 was € 3,961 thousand.

Lastly, based on the available unaudited results, the Group's consolidated net revenue at 30 April 2020 amounted to € 38.5 million, down by 9.8% versus the same period of the prior year, due to the COVID-19 pandemic, whose effects have been felt by the Group since March this year. This result is in line with the forecasts of the Updated 2020 Budget. For further information, reference is made to the Prospectus.
