Item 8.01 Other Events.

Clarification of Third Quarter Dividend Record Date

On August 8, 2012, Nelnet, Inc. (the “Company”) issued a press release indicating that its Board of Directors had declared a third quarter cash dividend of $0.10 per common share on the Company's outstanding shares of Class A common stock and Class B common stock, payable on September 15, 2012, to shareholders of record as of September 1, 2012. As September 1, 2012 falls on a Saturday, the effective record date for the dividend will be the close of business on Friday, August 31, 2012.
